Nokia Group (India) gets NCLT’s nod for amalgamation

JSA advised and represented Alcatel-Lucent India Limited., Mformation Software Technologies India Private Limited, Alcatel-Lucent Managed Solutions India Private Limited (collectively, the “Transferor Companies“) and Nokia Solutions & Networks India Private Limited (“Transferee Company“) in proceedings before the National Company Law Tribunal, Delhi Bench (“NCLT“) seeking sanction of a composite scheme of arrangement. The scheme was structured in three layers – the first layer being reduction of capital of the Transferor Company 1, the second layer being amalgamation of the Transferor Company 3 in the Transferor Company 1 (holding company of the Transferor Company 3), and the third layer being amalgamation of the consolidated Transferor Company 1 and the Transferor Company 2 in the Transferee Company.

The NCLT sanctioned the scheme vide its order dated 07 September 2022.
