Arka Mookerjee is the Co-Head of the Equity Capital Markets practice, with 21 years of experience advising on India’s most complex and high-value transactions. He is recognised for leading several first-of-their-kind mandates and for his deep involvement in shaping the regulatory framework governing capital markets.

He has been at the forefront of the evolution of India’s capital markets, advising on several pioneering transactions, including the country’s first QIP and the first InvIT IPO under SEBI regulations, which includes:

  • Advised on India’s first Qualified Institutions Placement,
  • Advised on the first public issue of Non-Convertible Debentures by Tata Capital Limited,
  • Lead the first-ever IPO of an Infrastructure Investment Trust under the SEBI InvIT Regulations for IRB InvITs Trust, and
  • Lead the first privately placement of units under the SEBI InvIT Regulations for L&T IDPL

 

He advised the industry bodies like Bharat InvITs Association (BIA), Association of Investment Bankers in India (AIBI), SEBI-constituted sub-committee on InvITs regulations (HySAC) and regularly engages with regulators, industry stakeholders and market participants on policy development. He regularly represents issuers, underwriters, and selling shareholders on complex, high-value transactions.

His practice is distinguished by his deep understanding of regulatory frameworks and his ability to navigate complex structuring and execution challenges. Arka is actively involved in shaping regulatory developments in India’s capital markets.

  • Advised leading financial institutions including Axis Capital, ICICI Securities, Morgan Stanley, JM Financial, IIFL Capital Services, Kotak Mahindra Capital, and SBI Capital Markets on several IPO mandates, including Shadowfax Technologies and CORONA Remedies.
  • Advised in relation to the initial public offering of equity shares of OnEMI Technology Solutions Limited comprising of fresh issue and offer for sale by investor selling shareholders aggregating to ₹9,259.20 million.
  • Advised on one of India’s largest QIPs, including for State Bank of India, and on the country’s first-ever QIP (Spentex Industries Limited).
  • Advised Raajmarg Infrastructure Investment Trust (NHAI-sponsored) on its ₹6,000 crore IPO, including structuring and establishment of the InvIT platform.
  • Advised National Highways Infra Trust on multiple landmark unit placements, including a ₹16,000 crore private placement – the largest by a public sector body in India, and the first-ever institutional placement of InvIT units.
  • Advised on the ₹5,046 crore initial private placement and listing of units by National Highways Infra Trust, marking the first such transaction by a public sector entity.
  • Advised POWERGRID Infrastructure Investment Trust on its IPO and listing, the first InvIT public offering by a public sector undertaking.
  • Advised on multiple InvIT transactions, including Bharat Highways InvIT (₹2,500 crore IPO), TVS Infrastructure Trust (₹1,300 crore initial placement), and NXT-Infra Trust (₹1,900 crore IPO), as well as IPOs of IRB InvIT, R-Infra InvIT (proposed), and Anantam Highways Trust.
  • Advised on the first public issue of non-convertible debentures by Tata Capital Limited and regularly advises the Shriram Group on NCD issuances.
  • Advised institutional and strategic investors, including Alpha wave, Google, LGT, MAJ, EQT, Peal XV and Proparco, on offer for sale transactions in IPOs such as Aye Finance Limited, Swiggy, Ola Electric, Healthcare Global Enterprises and Prabhat Dairy.
  • Advised private equity investors on exits through public market transactions.
  • Advised on strategic acquisitions, including Anchor Electricals (by a Japanese conglomerate) and Gwalior Chemicals (by a German multinational).
