JSA Advocates & Solicitors (JSA) advised MKU Limited (“MKU”) on the sale of its entire share capital in E.I.S. Electronics (India) Private Limited (“EIS Electronics”) to its joint venture partner, E.I.S. International GmbH (“EIS GmbH”).
MKU Limited is a global manufacturer of defence and homeland security solutions, specialising in ballistic body armour, platform armouring for vehicles and aircraft, and electro-optic night vision devices. EIS Electronics, previously a joint venture between MKU and EIS GmbH, is primarily engaged in the manufacturing of cable harnesses and related assemblies.
JSA provided MKU with comprehensive, end-to-end legal support in relation to the transaction, including advising on structuring and transaction strategy, drafting and negotiating transaction documentation, addressing regulatory aspects, and assisting with the completion of conditions precedent and closing.
