JSA Advocates & Solicitors (JSA) advised Jindal Energy (Botswana) Proprietary Limited, a part of the Jindal Group, in connection with financing availed from a consortium of lenders including Axis Bank, ICICI Bank for the development of a greenfield thermal power plant in Botswana for sale of electricity to Botswana Power Corporation.
This transaction has been recognised as one of the most significant financings of a thermal power project in Botswana. JSA acted as lead counsel to the Jindal Group and was actively involved in structuring, reviewing and negotiating the overall transaction framework and all relevant finance documents.
Given that Botswana is a nascent jurisdiction for cross-border financings of this magnitude involving multiple jurisdictions, the security structure and documentation were highly complex and required swift resolution of issues raised by various stakeholders.
JSA worked collaboratively with stakeholders to ensure timely and precise closure of documentation, with particular focus on facilitating smooth disbursement and successful execution of the financing.
