JSA advised Medwell Ventures Private Limited (“MVPL“) and its shareholders on the 100% sale of the shares of MVPL to Health Care At Home Private Limited (“HCAH“). MVPL provides at-home healthcare and other services under the brand name of “Nightingales” in several cities in India. In consideration of the shares of MVPL, shares of HCAH were issued to certain sellers, and cash payments were made to the remaining sellers. The transaction had to be completed within very strict timelines and was challenging due to the number of sellers and parties involved as well as the complexity of structuring the transaction partly for cash consideration and partly against swap of HCAH’s shares.
