J. Sagar Associates (JSA) assisted and advised AbsolutData Holdings, Inc., a company incorporated in USA, having subsidiaries in USA, Dubai, UK, India and Singapore and engaged in the business of providing artificial intelligence and advanced analytics solutions to its customers across geographies (AbsolutData Group), in 100% sale of equity stake of AbsolutData Group to Infogain Corporation. JSA also advised the founders of AbsolutData Group, Absolutdata Research & Analytics Solutions Private Limited (the Indian subsidiary of AbsolutData Group) and Eight Road (the VC shareholder of AbsolutData Group).
The execution of definitive agreements and closing occurred in December 2020. The transaction required the parties to negotiate and agree on different structuring models for sale of interests by parties from different jurisdictions. The transaction resulted in complete exit of Eight Roads and founding management team of AbsolutData Group. However, the founding management team will continue to assist Infogain Corporation in smooth transitioning of the business.
