He has assisted in advising clients on employment laws, including reviewing employment and policy documentation and advising them on compliances under labor statutes.

Yajas has also assisted in advising clients in the IT and ITES sectors, on data protection and privacy laws in India.

He has represented clients in sectors such as energy, hospitality, pharmaceutical medical devices, financial services, retail & franchising. He has advised multi-national companies in cross border investments, foreign direct investments, outbound investments, joint ventures and commercial contract issues.

Before joining JSA, he was with Desai & Diwanji, Advocates and Solicitors, in its Gurgaon office.

Vinam Gupta

Vinam specializes in Dispute Resolution.

He has gathered invaluable experience & expertise, inter alia, in handling various types of Litigations – Corporate & Commercial, Arbitrations, Writs under the Constitution of India, Criminal proceedings and shareholders’ dispute and pre-litigation advisory.

Vinam has represented various major corporates, banks and financial institutions in Litigations before various High Courts of the Country and the Supreme Court.

Vivek K Chandy

Vivek specialises in the areas of private equity, mergers & acquisitions and corporate commercial work, with more than 25 years of experience and currently chairs the Private Equity Practice of J. Sagar Associates.

Vivek has worked extensively in the software and services sectors as well as with hospitality, healthcare, biotechnology and manufacturing industries, advising on a wide range of issues from acquisitions to structuring transactions.

Vivek also represents clients in large real estate transactions and heads the Real Estate Practice of the firm.

Vivek’s clients include listed real estate investment trusts and private equity funds (including funds which are in the process of setting up real estate investment trusts offshore). Vivek has also acted for some of the very large e-commerce players in relation to their India acquisitions.

Aarti Iyer

Aarti’s practice covers diverse areas of Corporate Commercial law including Foreign Investment, Joint Ventures, Mergers & Acquisitions and Private Equity.

Aarti post internship training with the Firm has seen her actively involved in assignments pertaining to Company law, Capital Markets, Due Diligence for Mergers & Acquisitions, Private Equity and other Corporate matters.

Tony Verghese

Tony’s practice largely focuses on Corporate Commercial transactions in various industrial sectors. He handles complex commercial contractual reviews, due diligence exercises, Mergers & Acquisitions, Foreign investment related matters, Real Estate, Employment law matters and multifaceted commercial negotiations on behalf of various clients.

His experience in the Telecom and Information Technology (IT) sector involves providing regulatory advice, on telecom service licensing in India, setting up Call Centre operations and obtaining relevant licenses, software vendor contracts, service level agreements, technology licensing agreements, advice on setting up STPI’s (Software Technology Parks of India) and SEZ’s (Special Economic Zone) and general legal issues involving Telecom and IT companies.

Tony also regularly advises overseas companies in setting up business operations in India, and assists them in setting up subsidiaries / branches / liaison office, Real Estate acquisition by way of lease or leave and license, obtaining various statutory registrations (such as Sales Tax, VAT {Value Added Tax}, Shops & Establishments, Income Tax), and conducting corporate compliance and legal audits.

Udhav Gulati

Udhav’s practice covers diverse areas of Corporate Commercial and Banking & Finance, including Mergers & Acquisitions, Private Equity investments, Foreign Direct investments in India & overseas Direct Investment by Indian companies and Joint Ventures. His scope of work in these transactions has included conducting of legal Due Diligence, drafting and vetting of Shareholders’ / Subscription Agreements and rendering of strategic & regulatory advice on related matters. He has varied transactional experience and has advised clients on issues under the Companies Act, Foreign Exchange Management Act (including the FDI Policy, SEBI Act and setting up of business operations in India and outbound Investments from India.

Siddharth Sinha

He has gathered invaluable experience & expertise, inter alia, in handling various types of Litigations involving Corporate & Commercial Laws, Civil Laws, Intellectual Property Laws, and has also assisted in a few Arbitrations.

Before joining JSA, he was with Singhi & Co., Ahmedabad.

Abiha Zaidi

Abiha specializes in Regulatory & Policy Practice and Dispute Resolution in the Energy Sector.

She has gathered invaluable experience & expertise, inter alia, in handling various types of litigation in the Electricity Sector including disputes concerning interpretation and application of the regulations of the Central and State Electricity Regulatory Commissions.

She has been involved in formulating strategies, drafting Petitions, Appeals, Replies, Statement of Claim etc., and assisted in representing clients before various State Electricity Regulatory Commissions, Appellate Tribunals for Electricity, High Court of Delhi, and Supreme Court and in briefing of counsels.

Before joining JSA, she/he was with the Power System Operation Corporation of India Ltd. (POSOCO) where she acquired in depth knowledge of the electricity industry while working on complex legal issues involving interaction of law with Public Policy. Her work as POSOCO inter-alia involved Power sector related regulatory litigation and drafting of policy, procedures and regulations.

Amitabh Kumar

Amitabh, a retired Indian Revenue Service Officer, has handled diverse assignments in the sphere of Regulation, Public Finance and Policy in an illustrious career of 31 years. He has served as the first Director General of the Competition Commission of India from 2004 to 2009. He was involved in the Policy and Regulatory Framework set up in the initial years of the Competition Authority. He further assisted the Government in drafting the Competition (Amendment) Bill, 2007.

Amitabh was also responsible for drafting nine implementing regulations, besides making a significant contribution to the Competition Advocacy initiative of the authority.

He was the Departmental Representative for the Income Tax Department at the Income Tax Appellate Tribunal for six years, where he handled complex Tax cases.

He also has consulting experience with the African Development Bank, The World Bank, UNDP and Department for International Development (UK) in strategic policy areas. He has also served on the Board of several public sector undertakings.

Recently, he was member of a committee appointed by the government to recommend a National Competition Policy document and necessary amendments to the Competition Act, 2002.

During the last few years, working with JSA, he has handled complex cases of abuse & cartels besides merger filings and organizing competition compliance programmes.

 

Nishtha Kumar

Nishtha specializes in Regulatory & Policy with a focus on disputes in the Aviation and Electricity sectors. She handles matters relating to tariff fixation, and contractual and regulatory issues in these sectors.

She has advised airlines and industry stakeholders on tariff & contractual disputes. She is also engaged in matters pertaining to disputes arising between electricity generators and distribution companies.

Before joining the Firm, Nishtha was associated with the Chambers of Ms. Indu Malhotra, Senior Advocate, and was dealing with civil, criminal, consumer litigation including medical negligence cases, arbitration and matrimonial matters.

Shashank Vikram Singh

Shashank’s practice covers the entire gamut of Investments & Acquisitions, in Energy and infrastructure Projects. During the course of his practice he has advised domestic & international project developers, Private Equity funds, lenders, institutional investors, and multilateral & bilateral agencies on Private Equity investments, Joint Ventures & strategic Acquisition (greenfield & brownfield) across a diverse array of verticals in the Infrastructure sector including Energy (conventional / thermal and renewable), Transportation (roads & national highways, ports, airports, BRTS / MRTS), Oil & Gas and Urban Infrastructure. Shashank advises clients on all aspects of power purchase agreements, fuel supply & transport arrangements, EPC and O&M contracts, and mine developer & operator contracts. He also regularly advises project developers on the bidding & procurement process involved in major Public Private Partnership Projects. He was part of the team that advised the Asian Development Bank in its largest investment in the Renewable Energy space in India. Before joining JSA, he was with Trilegal, Mumbai where he worked with the Corporate and Projects practice groups; and Khaitan & Co, Mumbai where he was a member of the Energy, Infrastructure & Resources practice group.

Bharati Joshi

Bharati’s practice focus is Corporate Commercial, but she has also assisted teams engaged in the Infrastructure domain. She has prepared memos on legal issues regarding general corporate compliances and Company law.

She has also been actively involved in Employment related advisory work including pre-employment screening, background checks, recruitment, terms of appointment, conditions of service, secondment / deputation of expatriates to India, employee rights and entitlements, employee benefits, principal employer’s obligations towards contract labour, disciplinary enquiry against delinquent employees, employee termination, suspension, dismissals, redundancy, lay-offs, voluntary retirement / separation and retrenchment in India.

Sunanda G.

Sunanda specializes in Real Estate transactions, including conducting Due Diligences and drafting of all related documents. She regularly provides advice on property related matters to various multinational companies.

She also has extensive experience in Banking & Finance related transactions including Real Estate Financing and Security Creation. Sunanda has drafted letters of intent, agreements and deeds for the sale, lease, and license of immovable property and project management services agreements and advised on the registration of documents, special economic zone compliance, development and co-development projects.
She also advises on various labour legislations and has been involved in drafting and reviewing various employment contracts. She has been involved in drafting, reviewing and negotiating contracts relating to Retail & Franchising.
Sunanda has experience in conducting cases and in this regard has appeared before the courts, tribunal and the consumer forum. She has been involved in drafting of various petitions.
She has been practicing law for over six years and before joining JSA, she tenured with AZB & Partners, Bangalore for a period of 2 years and then joined M&C Partners, Bangalore.

Kirti Singh

Kirti focuses on general corporate commercial practice and supports various clients by undertaking commercial contractual reviews, regulatory and license requirements, due diligences and advised on employment law related matter.

She advises both domestic and international clients on matters related to setting up operations in India. Additionally she supports clients in real estate acquisition transactions by way of lease & license.

She has been involved in telecom, information technology, manufacturing, media and information sectors.

Reeti Choudhary

Reeti’s practice focuses on Competition Law.

She advises and acts extensively on merger control issues and filings in both global and Indian acquisitions and mergers.

She regularly advises clients on issues relating to agreements and internal corporate behavioural compliance including creation of competition compliance programmes and conduct of compliance trainings.

Abhishek Munot

Abhishek has been practicing law since 2007. Before joining JSA, he working with M. Dhruva & Co., a law firm based in Mumbai, as an Associate.

Prakriti Jaiswal

Prakriti specialises in Mergers & cross border investments & acquisitions. Her experience includes rendering advisory and structuring services on a variety of transactions including acquisitions of shares & business, Private Equity investments, Joint Ventures and corporate advisory.

Prakriti has represented & advised various Indian and overseas acquirers, Indian investee companies and promoters, investment funds in a variety of industry sectors including Pharmaceutical, Logistics, Power, Manufacturing Industry, Infrastructure, IT, Financial Services, and the Hospitality sector.

Before joining JSA, she was associated with Desai & Diwanji, one of India’s premier and oldest law firms.

Some of the key assignments in these areas which were handled by Prakriti amongst others cover the following: –

  • Advised an Irish entity for the fund raising exercise involving different instruments such as promoter warrants, investor warrants and debentures.
  • Advised the Indian promoters in sale of 100% shares of the company engaged in the business of manufacture and distribution of medical devices, to a Japanese corporation.
  • Advised a fund in its fourth round of investment in a company engaged in supply chain & logistics services.
  • Advised an Indian Company in majority stake sale of their infrastructure SPV to a fund for approx. ` 220 million.

Abhishek Kumar Singh

Kartikeya Dar

Kartikeya specialises in Banking & Finance and financial services.

He has experience in debt transactions (secured, unsecured and syndicated and including secured notes), project finance, acquisition finance, structured finance, real estate financing, security creation, unlisted debt and general banking products.

Kartikeya has also previously advised Indian and international corporations on Oil & Gas upstream developments (including on production sharing contracts and joint operating agreements) and thermal Project Financing and refinancing.

Vishrov Mukerjee

Vishrov specializes in Regulatory & Policy with a focus on disputes in the Power and Oil & Gas sectors.

He handles matters relating to tariff fixation, fuel supply issues of thermal generating stations, contractual and regulatory issues in these sectors. He has also advised generating companies in the Renewable Energy sector on tariff and contractual disputes.

He has advised ultra-mega and mega power projects in their disputes relating to compensation for rupee devaluation, change in law, recovery of tariff and fuel cost pass through.

Vishrov is also representing gas-based generating stations in their ongoing litigation for recovery of tariff as well as open access for supply of gas.

He is also a part of the team representing corporations in their ongoing litigation before the National Green Tribunal.

Ashrafi Ginwalla

Rohitashwa Prasad

Rohitashwa co – chairs the M&A practice of the Firm. Rohitashwa is a U.S. qualified lawyer focusing on Mergers & Acquisitions, Capital Markets, and General Corporate Commercial laws.

Rohitashwa has significant experience in matters relating to FDI in India, overseas investments by Indian companies, the Indian Takeover Regulations, Joint Ventures, Asset Sales, and Corporate Reorganizations. He has represented various strategic and financial investors, particularly Private Equity & Venture Capital firms, and investee companies in a wide variety of investments. His role in these transactions has included negotiations, drafting, complex structuring, rendering strategic advice, and interacting with major international law firms and financial services providers.

 Rohitashwa has extensively represented various underwriters and issuers in diverse industries in a wide variety of Capital Markets transactions, including IPOs, QIPs, GDRs, and FCCB offerings.

 Prior to joining the Firm, Rohitashwa was an associate in the Singapore office of White & Case, a leading U.S. law firm. At White & Case, he represented various multinational businesses, state-owned entities, Private Equity & Venture Capital investors, particularly in the Telecom, Oil & Gas, and Healthcare industries in S-E Asia.  

 Rohitashwa has practiced Civil Litigation for three years in the High Court of Patna and in the Supreme Court of India. He has an LL.M. from Harvard Law School and is admitted to practice in the State of New York.

Arjun K. Perikal

Arjun specializes in Mergers & Acquisition, General Corporate Commercial and Dispute Resolution.

He has extensive experience in M&A related transactions including all manners of structuring and scheme of arrangements; drafting contracts for web applications, e-commerce, hospital management, etc.; dispute resolution through arbitration & mediation; corporate litigation in relation to oppression & mismanagement and liquidation. He has appeared and argued before various judicial forums in the writ, original and appellate jurisdictions.

Arjun also advises on incorporation of entities and general corporate secretarial compliance and corporate contracts. In addition, he has extensive experience in advising clients on real estate acquisition, development and leasing.

He has been practicing law for over thirteen years. He has worked with AZB & Partners, Bangalore and with M&C Partners, Bangalore, before joining JSA in July 2009.

Probir Roy Chowdhury

Probir specializes in Corporate Commercial, Venture Capital & Private Equity, and Information Technology. He has been involved in corporate transactions focused on the high technology industry including cross border Mergers & Acquisitions.

His transactional practice includes advice on Transaction Structuring, Entry strategies, Cross Border Mergers & Acquisitions and Foreign Exchange Regulations. He also liaises with Government Regulators on a regular basis.

Probir has considerable experience in the Venture Capital & Private Equity Practice, and has been involved in providing structuring advice for Venture Capital / Private Equity Funds and has assisted in setting up the overseas & India operations of the funds including assisting the funds in making investments in portfolio companies.

Probir also advises on various areas of Information Technology Law including outsourcing, data protection and e-commerce issues. He also has experience of providing general advice on content, negotiating carrier agreements and privacy and networking matters to IT and communications companies and their users, in international, public and private sectors.

He is involved in the Education practice of the Firm and has represented and continues to advise Foreign Universities / Educational Institutions on their India investment initiatives. He regularly advises Private Equity / Venture Capital funds investing in the Education sector in India.

Probir has been sent on secondments to law firms in Switzerland, Spain, Germany and Italy. He has worked closely on EU data protection regulations and has, as a result of his secondment, a good understanding on cross border complexities in corporate and technology transactions.

Probir writes on several technologies related subjects and had published articles on several topics including Data Protection. He has contributed to the United Nations WSIS Summit Project on Technology Surveillance and to the Comparative Law Yearbook of International Business on International Franchising. He has contributed chapters to Advances in Biopharmaceutical Technology in India, published by BioPlan Associates Inc. He is a regular contributor to the ‘Computer Law Review International’. He has also written a paper on Privacy Laws for the Cyber Law course at IGNOU. His paper – “Foreign Provision of Higher Education in India – Legal Issues and Practices” was published by the Observatory on Borderless Higher Education, UK. His book ‘Outsourcing Biopharma R&D to India’ was published by Biohealthcare Publishing (Oxford) Limited.

Alvia Ahmed

Alvia practices in the area of Regulatory & Policy and Dispute Resolution.

Her work primarily is focused on various areas of Communications (Telecom and Broadcasting) in diverse fora including the Supreme Court of India, High Courts of various states, Telecom Regulatory Authority of India (TRAI), and Telecom Disputes Settlement and Appellate Tribunal (TDSAT).

Alvia is involved in various aspects of Dispute Resolution including evaluation of contractual arrangements / regulatory and legal framework to facilitate compliance; assisting in drafting pleadings, and assisting in briefing counsel.

Before joining JSA, she gained valuable experience interning with Justice Aftab Alam, Judge, Hon’ble Supreme Court of India, Khaitan & Co., and Senior Advocates in the Patna High Court.

Hormuz D. Mehta

Hormuz specializes in Dispute Resolution, White Collar crimes and General Corporate Commercial Litigation.

He has extensive knowledge in Dispute Resolution from International Commercial Arbitrations to criminal frauds in local courts. He has varied experience in Litigation matters including corporate frauds, bail & anticipatory bail applications, medical negligence, scams, economic espionage, internet fraud and perjury.

In addition, he has experience in International Commercial Arbitrations under various international institutions such as the ICC, DIAC and LCIA.

Before re-joining JSA, he was for two years as a counsel in the Bombay High Court with criminal counsel Mr. Aabad Ponda. He was also a Case Manager at the Dubai International Arbitration Centre for 2 years, before which he was an Associate with JSA in the Mumbai & Dubai offices.

Ashutosh Kumar Srivastava

Ashutosh specializes in the field of Regulatory and Policy with a special focus on Energy Laws.

He has been a part of the team representing clients before Tribunal and Supreme Court of India in matters relating to tariff disputes, conduct of business regulations and energy exchange.

He has also been involved in an Arbitration proceeding pertaining to liquidated damages and interpretation of contract.

He is a graduate of National Law University (Odisha), 2016.

Shailesh Shukla

Shailesh specializes in Dispute Resolution which includes Litigation & Arbitration, in diverse areas of Corporate & Commercial disputes, Mining, Oil & Gas, Transportation – Ports and related disputes.

He has been primarily practicing in the High Court(s), Company Law Board and various Arbitral Tribunals. Shailesh has also appeared before several other courts of India viz. Debt Recovery Tribunal, Debt Recovery Appellate Tribunal, Civil Judge Senior Division, District Courts, City Civil Courts, Magistrate Courts, Sessions Courts including before the Provident Fund Commissioner, Labour Commissioner, Inspector General of Registration, Land Revenue Authorities, Ministers, Central Excise and Service Tax Appellate Tribunal.

Shailesh has also advised clients in scheme/ mergers matters under the Companies Act and has appeared in such scheme matters before the High Court. He has also advised clients on issues with regard to payment of stamp duty in Maharashtra and argued the matters before Superintendent of Stamps.

He has represented multinational companies before several courts, and has extensive experience in handling disputes in the High Court. He also has extensive experience in white collar criminal matters like cheating, criminal breach of trust, departmental prosecutions and has acted for clients by advising them with the help of external criminal counsels. He has worked with Senior Criminal Counsels, and has appeared along with them in quashing petitions before the High Court.

With regard to Real Estate, he has drafted documents for sale or purchase of immovable property, power of attorneys, lease of immovable property, conveyances, agreements for sale, memorandums of understanding, deed of transfer, tenancy agreements, leave and license agreements. He has advised the clients on various areas of law such as property, land, and provident funds. Shailesh has appeared before the Inspector General of Registration with regard to the issue of payment of stamp duty on the documents. He has acted and advised clients in family disputes with regard to the properties and has drafted settlement agreements in this regard.

He has been practicing law since 1995. Before joining JSA, he was with AZB & Partners, one of India’s premier law firms.

Aditya Rathi

Aditya’s practice covers diverse areas of corporate and commercial law including foreign investment, joint ventures, private equity and matters involving asset purchase/ business transfer. He has advised a number of Indian and foreign companies in structuring the acquisition or investment and rendered advice on corporate restructuring

He has advised several business families on succession planning and implementation of the same.

In addition, he has been advising clients on infrastructure projects especially in matters relating to concession agreements, EPC contracts and operations and maintenance contracts.

Prior to joining the Firm, Aditya has worked with a leading law firm Desai & Diwanji.

Aashit Shah

Aashit is the Chair of the Banking & Finance Practice at the firm and is based in Mumbai. He has been with the Firm since October 2005 and has advised domestic and international clients on diverse areas of law such as Exchange Control, Private Equity, Mergers & Acquisitions, Banking & Finance, Funds formation and General Corporate & Commercial laws.

In the area of Banking & Finance, Aashit has advised Indian and multinational banks, non-banking finance companies and financial institutions in relation to (i) credit facilities to Indian borrowers, including in relation to capital expenditure and acquisition financing, (ii) credit facilities to overseas subsidiaries of Indian entities for the purpose of overseas acquisitions and leveraged buy-outs, and (iii) structuring and implementing debt, quasi-debt and equity transactions, which are compliant with Indian exchange control and banking regulations.

He has also advised arrangers and issuers on various privately placed non-convertible debentures which are then listed on Indian stock exchanges. In the areas of Private Equity and foreign investment, Aashit regularly advises private equity funds andmultinational institutions in their investments and divestments in Indian unlisted and listed companies under the automatic route and approval route. Aashit has been assisting investors in devising and implementing exit strategies from Indian investments. Aashit also advises in setting up of private equity funds, offshore funds, venture capital funds and alternative investment funds.He regularly advises clients on Indian law issues concerning exchange control regulations, securities regulations and general corporate laws in relation to inbound investments, joint ventures, takeovers and acquisitions. He has also advised on several cross border acquisitions of and by Indian companies.

Jyoti Sagar

Jyoti Sagar has been practicing law since 1976. He founded J. Sagar Associates (JSA) – in New Delhi in 1991 as a solo practitioner. JSA is now one of the leading national firms with over 300 professionals. Jyoti also founded K&S Partners, an Intellectual Property boutique in 1994. K&S now has over 115 professionals and is a leading IP practice.

He has pioneered a new paradigm in Indian law firm organization and management structures. He is also Chairman – Society for Urban Regeneration of Gurgaon (focuses on long term sustainable development issues of Gurgaon, National Capital Region); Trustee – Genesis Foundation (provides critical medical assistance to orphans & underprivileged children); and supports Deepalaya (engaged in education of slum children in the National Capital Region).

Jyoti is a B.A. (Economics Honors) from St. Stephen’s College, University of Delhi and Bachelor of Laws (University of Delhi). He has attended the Mergers & Acquisition Program at the Wharton Business School, University of Pennsylvania.

Raveena Dhamija

Raveena primarily focusses on Projects and Banking & Finance.

She has advised on diverse Finance Transactions and opinions relating to Energy projects, such as LNG (Liquefied Natural Gas) Projects (including Regasification Agreements) and Coal projects.

Raveena has advised on issues pertaining to handling service and transportation agreements, guarantees, comfort letters and EPC (Engineering, Procurement and Construction) contracts.

She has also worked on matters relating to Customs Act and Railways Act, with special reference to liabilities arising out of transfer by Railways.

T. Purnachandra Rao

Purna currently is a part of the Litigation and Real Estate practice of the Firm and has a vast experience in Litigation of civil & criminal laws. In the past, he has advised various clients and has conducted litigations before the courts and various Quasi Judicial Authorities.

He has appeared and conducted proceedings before various special tribunals including Debt Recovery Tribunal & Labour Courts.

Purna has undertaken significant Litigations and Arbitrations in diverse areas, including disputes arising from Real Estate matters, labour, debt recovery matters relating to Banks as well as Non-Bank Financial Institutions and consumer disputes.

Purna has a vast experience in Realty transactions having handled prestigious assignments in the Real Estate sector of the Firm. He has advised several multi national companies and banks in connection with FDI (Foreign Direct Investment) & FII (Foreign Institutional Investors) transactions and has successfully completed several major land & property transfers.

Apart from the Real Estate & Litigation practice Purna has experience in handling immigration related issues for multinationals.
