Vinam Gupta

Vinam specializes in Dispute Resolution.

He has gathered invaluable experience & expertise, inter alia, in handling various types of Litigations – Corporate & Commercial, Arbitrations, Writs under the Constitution of India, Criminal proceedings and shareholders’ dispute and pre-litigation advisory.

Vinam has represented various major corporates, banks and financial institutions in Litigations before various High Courts of the Country and the Supreme Court.

Ayisha Mansoor

Ayisha specializes in diverse areas of General Corporate Commercial.

She has advised both domestic & international clients on foreign direct investments into India, establishment of new business operations in India, and has provided assistance in obtaining necessary approvals. She has been involved in numerous transactions involving share acquisition. She has assisted in conducting due diligences, drafting & negotiating transactional documents, including share subscription agreements, shareholders agreements and related secondary agreements.

She has gathered invaluable experience & expertise in the Real Estate sector including due diligence exercises and drafting of commercial agreements. She has also advised multinational companies and drafted agreements relating to units set up in the Special Economic Zone (SEZ).

Ayisha has had the opportunity of being seconded to Motorola Mobility, one of the leading smartphone makers worldwide. She has been actively involved in consumer related litigation and has also been dealing with employment laws and other related matters of the company.

She has also been advising on areas relating to corporate secretarial & compliances under various applicable corporate laws. In addition, she has been involved in drafting of various pleadings & applications before judicial forums and also has exposure to litigation matters.

Amandeep Singh Virk

Amandeep’s practice areas are general corporate commercial, mergers and acquisitions and private equity.

 

He has advised domestic and international clients in mergers and acquisitions related transactions including private equity investment, strategic acquisition and mergers (inter-company, intra-company and demerger). He has also advised clients on foreign exchange laws, company law, fdi policy and sebi related laws to various clients as part of general corporate commercial practice.

 

His scope of work includes doing legal due diligence, drafting opinions and drafting various commercial contracts including share purchase agreement, investment agreement and shareholders agreement.

Saumay Bhasin

Saumay practices on Corporate transactions, with an emphasis on highly regulated industries like Education and Healthcare.

Saumay also does multifaceted commercial work, advising on contracting, and assisting clients structure and negotiate complex arrangements. Among the regulations that he regularly advises clients on, are data privacy, employee relations, foreign exchange transactions, and compliance investigations.

Before joining JSA, Saumay was with the retail division of the Indian conglomerate, Mahindra, and has also worked in the area of commercial dispute resolution.

Soorya Pradeep

Soorya focuses largely on Corporate Commercial practice and specializes in Corporate Finance, Commercial Contracts, Investment Funds and Cross Border Investments. She has advised domestic and international clients on areas of Foreign Investment, Overseas Direct Investment, Debt Financing and associated Regulatory Approvals and Compliances and on the setting up of subsidiaries in India.

 

Soorya has engaged extensively in drafting transactional documents related to Real Estate Financing and Security creation, Contract Manufacturing and Debt Transactions.

 

She has been involved in drafting Shareholders cum Share Subscription Agreements, Joint Venture Agreements and various agreements and deeds pertaining to immovable property transactions.

Pooja Thomas

Soumitra Majumdar

Soumitra specializes in Banking & Finance.

He works closely with Indian & multinational banks, development financial institutions, commodity finance houses, non-banking finance companies as well as corporates.

Work profile includes structuring, due diligence, documentation and negotiations, in relation to, and execution & closing of:

  • bilateral / syndicated credit facilities to Indian borrowers, for capital expenditure, working capital, project financing and acquisition financing (on secured / unsecured / limited recourse basis);
  • guaranteed credit facilities to overseas subsidiaries of Indian entities, inter alia, for the purpose of overseas acquisitions and leveraged buy-outs;
  • cross border / domestic structured finance and trade finance transactions;
  • advisory on banking products;
  • creation and perfection of security interest on Indian assets;
  • debt and quasi-debt transactions compliant with Indian exchange control and banking regulations;

CV Srikant

Srikant’s practice areas include Corporate Commercial, Corporate Restructuring, Mergers & Acquisitions and private equity.

He has represented clients in sectors such as energy, hospitality, pharmaceutical medical devices, financial services, retail & franchising. He has advised multi-national companies in cross border investments, foreign direct investments, outbound investments, joint ventures and commercial contract issues.

Before joining JSA, he was with Desai & Diwanji, Advocates and Solicitors, in its Gurgaon office.

Rakesh Warrier

Rakesh focuses on Corporate Commercial and specialises in inbound investments into India, Venture Capital & Private Equity investments, Joint Ventures, Mergers & Acquisitions. He advises domestic and international clients on foreign exchange regulations and general corporate laws in India, and has been involved in conducting legal due diligences, drafting, reviewing and negotiating contracts and transaction documents. He has worked extensively with Technology, Media and Telecom companies and advised them on regulatory compliances and licensing requirements. Rakesh has also been involved in Banking & Finance transactions including Debt Transactions, Project Finance and Security creation. Some of the key assignments in these areas handled and being handled by Rakesh amongst others cover the following: –

  • Acted as Indian counsel to an existing foreign Investor in relation to second round funding in a domestic company running an online food portal, along with new foreign and domestic investors.
  • Acted as Indian counsel to a foreign acquirer in relation to 100% acquisition of an Indian company involved in an Information Technology related business.

Vinod Kumar

Vinod’s practice focuses on Dispute Resolution.

He has an extensive experience of handling general civil and commercial Litigation, Arbitration and public law remedies. He has represented clients before different fora in matters relating to Energy, Infrastructure, Real Estate, Banking, Intellectual Property Rights and Environment law.

Vinod regularly appears and conducts matters as counsel before various Courts and Tribunals, including Electricity Regulatory Commissions, Appellate Tribunal for Electricity, National Green Tribunal, Debt Recovery Tribunal, Intellectual Property Appellate Board, Consumer Forums, District Courts and High Courts.

He has represented a Bank, before the Madras High Court in one of the first instances in India of challenge to options contracts executed under ISDA Master Agreement.

Vinod represents clients in Arbitration disputes arising out of diverse contracts including Franchise Agreements, Infrastructure projects related to Ports & Road Constructions, Gas Supply Contracts, Power Purchase Agreements and EPC Contracts.

He advises clients in the Power sector on aspects relating to setting up and operating power plants, as also on diverse aspects of the Electricity Act including compliances under the regulatory framework.

A. Sanjay Kishore

Sanjay has extensive experience in handling key Corporate Commercial and civil cases before various Courts & Tribunals on matters relating to company law, civil law, arbitration law, contractual issues and consumer disputes.

He has also handled criminal litigation and has been associated with the conduct of matters relating to matrimonial disputes and offences under the Negotiable Instruments Act.

Swetha Prashant

Swetha’s practice covers diverse areas of Corporate Commercial law, Private Equity, Foreign Investments, Mergers & Acquisitions and Real Estate.

She has represented and assisted leading international private equity and venture capital funds on a variety of transactional and advisory matters relating to foreign investments in India. She has been involved in conducting legal due diligences, drafting, reviewing and negotiating transaction documents such as term sheets, share purchase agreements, share subscription agreements and shareholders’ agreements.
She has been practicing law since 2006. Before joining JSA, she worked as an in-house legal counsel for Godrej Properties Limited, a Mumbai-based real estate company, and subsequently joined as an Associate at Lexygen, a Bangalore-based law firm specializing in private equity and mergers and acquisitions, in 2007.
She has also written articles in reputed publications on topics relating to differential voting rights in Indian companies, legality and enforceability of affirmative voting rights in listed companies and international commercial arbitrations.

Akash Joshi

Akash practices in the area of Capital Markets Offerings & Securities and Banking & Finance.

He has handled capital market offerings in the nature of initial public offerings and qualified institutions placement. In the area of Banking & Finance, he has worked on 144A/Reg S offerings on overseas bonds by Indian issuers. He has also advised, inter-alia, real estate companies on lease and leave & license related queries.

Prior to joining JSA, he completed a B.A. LL.B. (Hons.) degree from NALSAR University of Law, Hyderabad.

Kartikeya GS

Kartikeya specializes in Infrastructure, Projects & Project Finance.

He has been advising clients on diverse issues concerning contractual matters, projects, regulation and restructuring.

Kartikeya has also worked on concession agreements, shareholder agreements and power purchase agreements. Further, he has been involved in drafting operation and maintenance subcontracts, concession agreements, requests for proposals, terms sheets for shareholder agreements and term sheets for O&M arrangements.

He was also involved in advising a leading international company on making a bid for the operation & maintenance of a metro rail project, an assignment that involved reviewing the bids documents, preparing a detailed review of the applicable legal & regulatory framework, and formulating a risk-matrix.

Other assignments handled by him include the drafting, formulation and finalization of executive rules for the preparation, procurement and implementation of public private partnerships.

He has also advised leading companies on structuring captive power plants within the extant legislative framework.

Rajesh Kumar Herur

Rajesh practices in the areas of Corporate law, Real Estate, leases and licenses, conveyances and material contracts. He has worked on contractual agreements for the purchase of lands for development and joint venture projects in Andhra Pradesh.

Rajesh’s practice area includes ensuring of adequate compliances of all FDI (Foreign Direct Investment) and statutory regulations, drafting and vetting of various commercial contracts, preparing due diligence reports and drafting legal opinion.

Rajesh also has the experience in handling commercial and civil cases before various Courts and Tribunals on matters relating to civil law, contractual issues and property disputes.

Megha Saraf

Megha’s practice is primarily in the area of Banking & Finance.
She has advised domestic and international clients in banking & finance related transactions including bilateral and syndicated lending (secured & unsecured), domestic & cross border lending, project financing, acquisition financing and debt restructuring. She has also advised clients on exchange control laws particularly those related to external commercial borrowings, credit enhancement of credit facilities extended to overseas subsidiaries of Indian entities, in-bound investments in listed Indian debt securities and trade finance. She has also advised on both creation and enforcement of security and quasi- security.
Before joining JSA, she worked with ICICI Bank Limited for a period of 5 years and advised on legal issues related to structuring of both domestic and cross border transactions. She also had a brief stint with Argus Partners, Mumbai where she advised clients on shareholders’ rights, corporate commercial contracts and various aspects of corporate finance and resource raising.

Anjana Jamalamadaka Potti

Anjana specialises in banking and finance with expertise in debt restructuring, structured and project funding (secured, limited recourse and syndicated), financing of inward and outbound mergers and acquisitions, real estate financing, and general banking products.

She has advised Indian and multinational banks and financial institutions extensively on corporate and debt restructuring and investments into distressed assets in the energy, manufacturing, roads and port sectors.

Anjana also advises on asset and mortgage backed securitisation and has been acknowledged for advice on risk participations and other bespoke structuring in the securitisation market. She has also advised private equity funds, corporates, and sovereign funds on share and asset acquisitions across various sectors and jurisdictions including advice on funding structures for such acquisitions and related documentation.

She has been practicing law since 2005. Before joining JSA, Anjana was an Of Counsel with Cyril Amarchand Mangaldas for over two and a half years after being an in house counsel at ICICI Bank Limited for almost nine years

Abraham Vishal Jacob

Abraham’s primary area of practice is Dispute Resolution including Litigation and Alternative Dispute Resolution.

He has worked extensively in diverse areas of Corporate & Commercial, Engineering & Construction, and Civil disputes before Courts, Quasi-Judicial Authorities and Arbitral Tribunals.

He has considerable experience in handling matters in the High Court of Madras, Chennai City Civil Courts, Company Law Board and Tamil Nadu Electricity Regulatory Commission, Appellate Tribunal for Electricity, National Green Tribunal, Consumer Redressal Fora and Arbitral Tribunals.

Previously, Abraham worked with Vichar Partners which has now merged with J. Sagar Associates.

Radhika Gupta

Radhika specializes in advising and assisting Telecom companies and other service providers in regulatory, licensing and IT matters with a focus on regulatory compliances.

She has assisted in Litigation matters for clients in Telecom, Power, and Oil & Gas sectors.

In addition, she has experience in advising government and civic authorities like the DDA, NDMC and also the Union of India in various civil disputes before the High Court of Delhi.

She started as a Law Trainee with a Senior Advocate in TDSAT and soon after clearing the AIBE, she worked as a Law Researcher in the High Court of Delhi. Before joining JSA, she practiced on the civil side in the High Court of Delhi.

Dhirendra is the co-chair of the Disputes Resolution practice of the firm.

Pallavi Puri

He has been involved in handling of Inolvency Proceedings, Winding UP and Mergers before NCLT and NCLAT. Kumar advises and represents clients in proceedings before quasi judicial bodies, tribunals and in trial matters as well.

Before joining JSA, he has worked with reputed firms of India and in chamber of Advocates at Supreme Court.

Ashutosh Kumar Srivastava

Ashutosh specializes in the field of Regulatory and Policy with a special focus on Energy Laws.

He has been a part of the team representing clients before Tribunal and Supreme Court of India in matters relating to tariff disputes, conduct of business regulations and energy exchange.

He has also been involved in an Arbitration proceeding pertaining to liquidated damages and interpretation of contract.

He is a graduate of National Law University (Odisha), 2016.

Shailesh Shukla

Shailesh specializes in Dispute Resolution which includes Litigation & Arbitration, in diverse areas of Corporate & Commercial disputes, Mining, Oil & Gas, Transportation – Ports and related disputes.

He has been primarily practicing in the High Court(s), Company Law Board and various Arbitral Tribunals. Shailesh has also appeared before several other courts of India viz. Debt Recovery Tribunal, Debt Recovery Appellate Tribunal, Civil Judge Senior Division, District Courts, City Civil Courts, Magistrate Courts, Sessions Courts including before the Provident Fund Commissioner, Labour Commissioner, Inspector General of Registration, Land Revenue Authorities, Ministers, Central Excise and Service Tax Appellate Tribunal.

Shailesh has also advised clients in scheme/ mergers matters under the Companies Act and has appeared in such scheme matters before the High Court. He has also advised clients on issues with regard to payment of stamp duty in Maharashtra and argued the matters before Superintendent of Stamps.

He has represented multinational companies before several courts, and has extensive experience in handling disputes in the High Court. He has worked with Senior Criminal Counsels, and has appeared along with them in quashing petitions before the High Court.

Malcolm Desai

Malcolm’s practice covers diverse aspects of Commercial, Regulatory and Civil Litigation.

He has handled varied matters in courts & tribunals relating to Commercial & General Civil Litigation; involving statutory, tortuous and contractual aspects of civil laws. Malcolm specialises in handling regulatory and commercial matters relating to the Energy, Telecom & Infrastructure Sectors.

He has been involved in advising & representing various corporate entities involved in Generation, Distribution, Trading, and Transmission of Electricity before various State Electricity Regulatory Commissions, Appellate Tribunal for Electricity and various High Courts.

Malcolm has advised a National Highway operator qua a contractual dispute with the National Highway Authority of India. He has drafted and reviewed Equipment Supply Contracts, Engineering Contracts, and Operations & Maintenance Contracts for various projects. He has also conducted due diligences for various Projects (including Thermal & Solar Power Projects).

Before joining JSA, he was working with Mulla & Mulla & Craigie Blunt & Caroe, with a specific focus on Conveyance, Real Estate and Trust related matters.

Aashit Shah

Aashit is the Chair of the Banking & Finance Practice at the firm and is based in Mumbai. He has been with the Firm since October 2005 and has advised domestic and international clients on diverse areas of law such as Exchange Control, Private Equity, Mergers & Acquisitions, Banking & Finance, Funds formation and General Corporate & Commercial laws.

In the area of Banking & Finance, Aashit has advised Indian and multinational banks, non-banking finance companies and financial institutions in relation to (i) credit facilities to Indian borrowers, including in relation to capital expenditure and acquisition financing, (ii) credit facilities to overseas subsidiaries of Indian entities for the purpose of overseas acquisitions and leveraged buy-outs, and (iii) structuring and implementing debt, quasi-debt and equity transactions, which are compliant with Indian exchange control and banking regulations.

He has also advised arrangers and issuers on various privately placed non-convertible debentures which are then listed on Indian stock exchanges. In the areas of Private Equity and foreign investment, Aashit regularly advises private equity funds andmultinational institutions in their investments and divestments in Indian unlisted and listed companies under the automatic route and approval route. Akhil Bhardwaj

Akhil’s core area of practice is Corporate & Commercial Litigation and Arbitration.

He primarily advises on disputes/issues relating to interpretation and application of Contractual Law, Arbitration Law, Constitutional Law and Company Laws.

Prior to joining the dispute resolution practice, he was part of JSA’s Corporate Commercial advisory practice and has assisted clients in aspects of Mergers & Acquisitions, Private Equity Investments, Joint Ventures, Energy Law, FDI in India and Overseas Direct Investment by Indian companies, in addition to contractual matters.

Ela Bali

Ela focusses on Regulatory & Policy, with an emphasis on Competition Law Litigation.

She has been involved in representing clients before the Competition Commission of India and has worked on diverse Competition matters including abuse of dominance cases, cartel investigations and merger filings.

Ela has also assisted in creating Competition compliance programmes for corporate houses.

Prior to joining JSA, Ela has gained valuable experience in the area of Competition law through her previous internships.

Arka Mookerjee

Arka’s practice area covers diverse areas of Corporate Commercial law which includes Capital Markets, Foreign Investments and Acquisitions.

He was part of the team which drafted the Placement Document for the first ever Qualified Institutional Placement in the Country and advised the clients thereof on the transaction. He was also a part of the team for the first ever public issue for Non- Convertible Debentures.

Arka has co-authored articles titled ‘Data Protection Laws – an overview’ published in the Corporate Law Advisor (CLA) and ‘Securitisation – a right to appeal’ published in Lexsite.com.

Divyam Agarwal

Divyam’s core area of practice is Dispute Resolution.

He has extensive experience in handling matters in various courts & tribunals relating to Commercial & Civil Litigation, and has been engaged in drafting of pleadings, opinions and appearing before various courts and tribunals.

Divyam is involved in handling institutional as well as adhoc commercial Arbitrations. He has worked in National & International Commercial Arbitrations including those concerning building and construction law related legal issues.

He has completed his Masters in Law from London School of Economics with a specialization in Arbitration. He is qualified, as an Advocate-on-Record of the Supreme Court of India.

 

Afsheen Irani

Afsheen is a member of the firm’s Corporate Commercial practice. Her areas of practice include Mergers & Acquisitions, Private Equity and Securities Laws.

She is part of a team that advises domestic and international clients on commercial transactions on matters of securities, company and exchange control laws and has assisted in the preparation of transaction documentation and due diligence reports for strategic investments and private equity acquisitions.

Sherill Pal

Sherill focuses on Corporate Commercial, Venture Capital & Private Equity, and Information Technology, Joint Ventures, Mergers & Acquisitions.

She advises domestic and international clients on foreign exchange regulations and general corporate laws in India, and has been involved in conducting legal due diligences, drafting, reviewing and negotiating contracts and transaction documents.
Sherill also advises on various areas of Information Technology Law including outsourcing, data protection and e-commerce issues. She has experience of providing general advice on content and privacy matters to IT and communications companies and their users, in international, public and private sectors.

Fatema Kachwalla

Fatema has been working with the Firm’s Projects and Regulatory Practice Team in Mumbai for less than one year and her practice also cover diverse areas of Project Finance, Corporate Commercial law including Foreign Investment and Private Equity. She has assisted in various transaction documents and opinions especially in matters relating to Corporate Laws and Foreign Direct Investment

Vedashree P Ravishankar

Vedashree’s practice focuses on Real Estate and property transactions, including conducting due diligences and drafting of all related documents.

She has drafted various Real Estate related documents including joint development agreements, lease & rent agreements and deeds for the sale of immovable property.

She has authored articles and has presented papers in national level seminars.

Before joining JSA, Vedashree has worked with ARN Law Associates where she primarily dealt with Court procedures in the field of Insurance, Motor vehicle Claims, bail and divorce, scrutiny of property documents, drafting deeds and petitions.

Manav Raheja

Manav concentrates his corporate law practice on Mergers & Acquisitions, Private Equity investment transactions and Real Estate matters.

He represents promoters, emerging companies, financial and strategic investors in an array of legal matters in the corporate law sphere. Manav also advises entrepreneurs and startup companies by hand holding them through the legal and regulatory environment of doing business in India.

Manav also works on Real Estate transactions, including conveyancing and leasing matters, property management and development agreements. He has been part of some of the largest investments in the Real Estate sector in India in the last few years.

Prior to attending law school, Manav gained valuable experience in Capital Markets at the Mumbai offices of Standard Chartered Mutual Fund (now IDFC Mutual Fund) and Merrill Lynch.
