• Advised AIMIA and Paladin Private Equity on their acquisition of Tufropes Private Limited as well as the business undertakings of India Nets, both entities recognized as leading global manufacturer of high-performance synthetic fiber ropes and netting solutions for the aquaculture and maritime sectors.
• Advised Knowcross, one of the leading SaaS providers globally, on the acquisition of Knowcross and its subsidiaries in United Kingdom and across multiple other jurisdictions by Unifocus Holdco Inc, a Riverside portfolio company based in Texas, USA.
• Advised ValueFirst, one of the top CPaaS players of India on the acquisition of ValueFirst and its subsidiaries across multiple jurisdictions by Twilio Inc., a leading cloud communications and customer engagement platform headquartered in San Francisco, CA.
• Advised Clues Network, Inc. (ShopClues) in relation to its merger with the subsidiary of Qoo10 Pte. Ltd., Singapore, resulting in the acquisition of ShopClue’s subsidiaries in India.
• Advised Suez, a global leader in management solutions for the entire water and waste cycle, in relation to 100% acquisition of two hazardous waste management companies.
• Advised PhonePe on its acquisition of in Indus OS from the founders and certain shareholders including Samsung.
• Advised Meiji Japan with respect to Meiji’s exit from a joint venture company in India.
• Advised Elara Technologies on the acquisition of controlling interest by REA Group Ltd, a global online real estate company headquartered in Melbourne, Australia.
• Advised Juniten Pte. Ltd. in relation to various joint ventures with Hyundai Global Motors in South Korea, Singapore, India and Oman for manufacturing of electric batteries for e-vehicles.
• Advised Mountainia Developers and Hospitality Private Limited in relation to the transfer of its hotel operating business including the property and other assets.
• Advised Quikr Mauritius in relation to a bridge round financing by Tiger Global and Kinnevik, by way of subscription to convertible promissory notes in a Mauritius company.
• Advised Hack VC on subscription to CCDs in Edunetwork Private Limited.
• Advised Juniten Pte. Ltd. in relation to financing by Bahwan Group, Oman, by way of subscription to promissory notes in a Singapore company.
• Advised Standard Chartered Real Estate Investment (Singapore) VII Private Limited and Tata Realty and Infrastructure Limited in relation to 100% acquisition of a company owning land in a special economic zone.
• Advised Blackstone, in its acquisition of a majority stake in Maldivian Air Taxi and Trans Maldivian Airways, two seaplane operators based in Maldives.
• Advised Medanta Health Private Limited in relation to private equity investments by offshore funds of Carlyle group and Temasek Holdings.
• Advised Tata Realty Infrastructure Limited in relation to investments in International Infrabuild Private Limited for implementing a commercial and retail project.
• Advised Yashoda Healthcare Services Private Limited in relation to 100% acquisition of Alexandria Healthcity Hyderabad Private Limited for construction of a hospital.
• Advised Isuzu Motors Limited in relation to due diligence of UD Trucks Corporation (proposed target entities) and associated companies in India.
• Advised Foundation Asset Management AB, (a Swedish foundation asset management company) in its global acquisition of Sandvik Process System from IPCO AB.
• Advised FIITJEE limited in relation to rights of shareholders in the event of future fund raise.
• Advised Country Garden in relation to a joint development residential project with the Uppal group.
• Advised Emaar MGF on various issues involving Foreign Direct Investment in real estate.
• Advised Mitsui & Co., International Monetary Fund, International Finance Corporation, BHP Billiton Marketing Services India Private Limited and Sumitomo Corporation on the leasing of commercial office spaces in Aerocity, New Delhi.
• Advised Walmart India on the legal implications under Foreign Direct Investment regulations in relation to e-commerce, real estate and retail sectors and on regulatory requirements and compliances for the business of wholesale trade in India.
• Advised Oppo Mobiles India Private Limited in connection with acquisition of land from the Greater Noida Industrial Development Authority, Uttar Pradesh for the purpose of setting up of an electronics manufacturing unit.
• Advised Vivo Mobile India Private Limited in connection with acquisition of land from Yamuna Expressway Industrial Development Authority for setting up of an electronic manufacturing unit.
• Advised Mata Amritanandamayi Trust on the sale of land by the Government of Andhra Pradesh in Vijaywada.
