Anand Lakra, Partner – Private Equity and M&A, JSA

Anand is an equity partner at JSA’s Mumbai office. His practice includes private and public M&A, private equity, venture capital and capital market transactions, with a particular focus on securities law matters. Anand has successfully led some of the leading M&A and Private Equity transactions in India. He has represented leading private equity funds (EQT, Carlyle, Advent) and corporations (Bosch, Coforge, Singtel, Google, Virtusa, Indium, Sagility) across multiple transactions.

    • Encora Group from Advent and Warburg Pincus for approximately USD 2.35 Billion. The transaction marks the largest takeover by an Indian IT company in the engineering research and development segment, the fourth-largest ER&D deal globally, and the second-largest acquisition ever by an Indian IT services firm.
    • Cigniti Technologies for approximately USD 256 Million.
    • SLK Global for approximately USD150 Million.

  • Represented Coforge Limited, in its sale of Advantage Go to Sapiens International Corp.

  • Represented Indium Software (India) Private Limited in its acquisition of Experion Technologies (India) Private Limited.
  • Represented Infogain Corporation in its acquisition of Impaqtive Technologies India Private Limited.
  • Represented Karnataka Bank Limited, in its fund raise of approximately USD 100 Million from institutional investors.
  • Represented Baring Private Equity Asia in its
    • sale of Hexaware Technologies. This was the largest deal value private equity exit in the technology sector in India.
    • acquisition of IGT Solutions for approximately USD 800 Million.
  • Represented Advent International Corporation in its acquisition of DFM Foods for approximately USD 165 Million.
  • Represented Robert Bosch Automotive Steering GmbH in the sale of its entire shareholding in ZF Steering Gear (India) Limited.

  • Represented JP Morgan in the Takeover offer made to the shareholders of RBL Bank by NBD Emirates Bank for USD 3 Billion and an open offer size of USD 1.3 Billion. This transaction is one of the largest ever foreign direct investment in the Indian financial services sector and the largest ever equity fund raise in the Indian banking sector.
  • Represented NovaaOne Capital in the Takeover offer made to the shareholders of J.B. Chemicals by Torrent Pharmaceuticals for USD 1.3 Billion and an open offer size of USD 765 Million.
  • Represented Coforge in the Takeover offer made to the shareholders of Cigniti Technologies.
  • Represented Citigroup in the Takeover offer made by
    • Gardner Denver Holdings to the shareholders of Ingersoll-Rand (India) Limited.
    • Larsen & Toubro Limited to the shareholders of Mindtree Limited.
    • Total Energies to the shareholders of Adani Total Gas.
    • Moody’s Corporation to the shareholders of ICRA Limited.

  • Represented Advent International in the delisting of DFM Foods Limited. This was the first successful counter-offer delisting undertaken in India.

  • Represented Baring Private Equity Asia in the delisting of Hexaware Technologies Limited. This was the first successful delisting undertaken by a private equity fund in India.
