Vivek K Chandy

Vivek specialises in areas of private equity, mergers and acquisitions and corporate commercial work. Vivek has worked extensively in the software and services sectors as well as hospitality, healthcare, biotechnology, e-commerce, manufacturing and entertainment industries. He has been advising on a wide range of issues from acquisitions to structuring transactions.

Vivek routinely represents clients in real estate transactions, including leasing and sale transactions. His clients include listed real estate investment trusts offshore and private equity funds which are in the process of setting up real estate investment trusts.

Vivek has worked extensively in the e-commerce, real estate, software and services sectors as well as advising clients across sectors on their advertising and marketing contracts and related matters.

Vivek is also qualified to advise on international commercial arbitrations and is a member of the Chartered Institute of Arbitrators (CIArb).

Vivek has nearly 30 years of experience, with a vast body of work in private equity transactions and general corporate advisory matters. Vivek brings immense value to clients due to his strong commercial grasp of transactions and ability to translate them into legal terms.

Some of the key assignments in these areas handled and being handled by Vivek amongst others, cover the following:

  • Advised a large sovereign wealth fund in its investment in India. The transaction involved investment in equity and debt securities with total investment amounting to approximately INR 12.4 billion
  • Advised Prestige Estates Projects Limited in an investment by HDFC Capital Advisors to support projects being developed by Prestige in the mid-income and affordable housing segment in India. This real estate platform will have a capital to the tune of INR 25 billion, and investments under the platform are proposed to be made through a blend of equity and debt as may be mutually agreed between the parties
  • Advised TVS Logistics Services Limited (“TVS”) and its promoters in connection with (a) the acquisition of shares of TVS by CDPQ from Goldman Sachs and KKR. The transaction also involved acquisition of certain shares by one of the promoters from Goldman Sachs and KKR. The total deal value is approximately INR 1,000 crores; and (b) investment in the share capital of TVS by Gateway Partners through primary subscription and secondary acquisition. The total deal value is approx. INR 700 crores
  • Advised eBay in relation to its investment into Flipkart Limited and sale of eBay India to Flipkart Limited. The aggregate value of eBay’s investment in Flipkart Limited would be approximately USD 735 million. The deal also includes investments by Microsoft and Tencent, and the total funding raised by Flipkart to be approximately USD 1.4 billion, which makes it the largest e-commerce deal in India at that time
  • Advised Facebook, Inc. (“Facebook”) in its first acquisition of a company in India. Facebook acquired 100% of the share capital of Little Eye Software Labs Private Limited, a mobile software analytics company based in Bangalore
  • Advised Facebook in relation to its investment in Sorting Hat Technologies Private Limited (the company which operates the online education platform, Unacademy) as part of the Series E financing round
  • Advising Embassy Group in connection with its transaction with WeWork, where Embassy Group and WeWork are establishing and operating shared workspaces
  • Advising Amazon in connection with several investments in India as well as general corporate and exchange control advisory matters
    Advising Red Fort Capital in connection with its various investments in real estate projects in India
  • Advising a large multinational financial company in connection with its proposed campus project for the lease of 1.5 million square feet from a local developer. This is one of the largest committed commercial real estate transactions in India
  • Advising Deloitte in connection with its leasing matters in India, including leasing approximately 3 million square feet space of office space in Gurgaon, Hyderabad and Bangalore
    Advising a US-based listed REIT on several transactions in India in connection with their investments and exits from real estate projects in India
  • Worked on management and operating hospitality contracts with the likes of Four Seasons, Hilton and the Fairmont Group
