Vishal Shah, Senior Associate, JSA

Vishal specializes in general corporate commercial, mergers and acquisitions, private equity, joint ventures, business transfers, asset transfers and corporate compliances. He has been advising Indian and foreign clients on foreign investments, corporate compliances and exchange control laws of India. He is also involved in legal due diligence of Indian companies and drafting and vetting of commercial contracts.

He has been working with JSA since 2017. Prior to joining JSA, Vishal was associate with Fortitude Law Associates, Mumbai.

Some of the key assignments in these areas handled and being handled by Vishal amongst others, cover the following:

  • Drafting, negotiating and finalizing asset purchase agreement for transfer of the information technology assets from one Indian company to another Indian company.
  • Drafting business transfer agreement for transfer of the information technology business from one Indian company to another Indian company.
  • Assisted in reviewing and finalizing the share purchase agreement, shareholders agreement, escrow agreement and other transaction documents between non-resident buyer, Indian resident sellers and Indian company in connection with the acquisition of 100% shareholding of the Indian company by non-resident buyer from existing individual shareholders.
  • Advised clients on the Indian laws applicable to investment banking services provided by a foreign entity to Indian company in relation to the private placement of securities proposed to be issued by such Indian company to the non-resident investors.
  • Assisted in reviewing and finalizing the transaction documents such as information memorandum, debenture trust deed, personal guarantee and commitment letter to be executed by the parties in relation to the issuance of optionally convertible debentures by an Indian company to Indian investor.
  • Assisting in reviewing and finalizing the lease agreement to be entered by an Indian company with the landlords for taking commercial premises on lease.
  • Conducted extensive research and advised clients on Indian laws including exchange control regulations and securities laws applicable to the issuance of compulsorily convertible bonds with attached warrants by an Indian listed company to a non-resident investor in multiple tranches.
