Shringarika Priyadarshini

Shringarika has experience in advising clients on all aspects of their mergers and acquisitions, investments and operations in India. Her role includes advising on Indian exchange control regulations, entry strategies, general corporate compliance related work, debt funding etc.

Shringarika has regularly advised clients (both international and domestic) on various matters and her expertise lies in a wide variety of sectors such as manufacturing, trading, logistics, renewable energy, food and beverages, information technology, automotive and autoparts.

In the year 2018, Shringarika was seconded to Nagashima Ohno & Tsunematsu for 2 months as a foreign visiting lawyer. Nagashima Ohno & Tsunematsu is one of the “Big Four” law firms in Japan.

She has been practicing law since 2014. Before joining JSA, she was associated with Trilegal and Induslaw.

  • Advising Amplus Solar in the acquisition of 100% shareholding in Surya Energy Photo Voltaic India Private Limited from the Acciona Group
  • Advising Toyota Boshoku Asia Co., Ltd in the acquisition of 100% shareholding in Shiroki Automotive India Private Limited – a company in the business of manufacturing of car seats and parts.
  • Advising Technique Solaire in its acquisition of (through its group company JLT Energy 9) 100% of the securities from ReNew Solar Power Private Limited of its six subsidiaries operating solar power projects in the state of Karnataka.
  • Advising Mitsui & Co in its exit from Marvel Solren Private Limited, its joint venture with Mahindra Susten Private Limited
  • Advising Mitsubishi Corporation in its exit from investment in Shriram Properties’ ongoing residential project in Chennai
  • Advising TACHI-S Company Limited in its joint venture with Uno Minda Ltd for manufacturing and marketing of seat recliners for four wheeler passenger vehicle in India.
  • Advising Yamaha Motor India Private Limited in relation to manufacture and sale of electric vehicles in India.
  • Advising Alnilam FZCO in its entry into India and proposed investment by a third party in the Indian entity.
  • Advising Apraava in the debt funding in Clean Solar Power (Jodhpur) Private Limited
  • Advising Apraava in acquisition of 100% shareholding of Clean Solar Power (Jodhpur) Private Limited from Hero Solar Energy Private Limited
  • Advising Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V. (FMO) in its subscription to Indian-law governed secured non-convertible debentures (NCDs) issued by OMC Power Private Limited, an Indian company involved in the business of generating electrical power by conventional and or non-conventional methods.
  • Advising a leading Japanese international engineering consulting company in its 100% acquisition of a leading Indian and an Omani project delivery consultancy company(ies) offering integrated planning, comprehensive building design, engineering, and project management services.
  • Advising a large Japanese automobile company in its further investments in India’s largest automobile company.
  • Advising the International Finance Corporation (in its capacity as the technical advisor to the Government of the Republic of Fiji) in a public-private partnership project to develop, upgrade, equip and operate public hospitals in Fiji.
  • Represented Mitsubishi Corporation in its investment in India (in a housing project being developed by Shriram Properties), including independently preparing a memorandum analysing various forms of investments and their corresponding regulatory framework in India.
  • Represented Mitsubishi Corporation in its subscription of equity shares in an Indian company TVS Automobile Solutions Private Limited (India’s leading player in the automobile aftermarket business of TVS Automobile).
  • Represented Mitsubishi Corporation in its subscription of equity shares in an Indian company TVS Supply Chain Solutions Limited (India’s leading player in logistics solutions and supply chain management systems).
  • Represented Leclanché S.A. in forming a joint venture with Exide Industries Limited to manufacture lithium-ion batteries for electric vehicles in India.
  • Represented Nissan Chemical Corporation in forming a joint venture with Bharat Rasayan Limited for undertaking the business of manufacturing and distributing agrochemicals.
  • Represented a Japanese supply chain company in acquiring a group company in India involved in the business of logistics, warehousing services and supply chain management.
  • Represented Technique Solaire, France in acquiring an Indian company in the business of owning and operating several solar power projects in Uttar Pradesh.
  • Represented com.au Pty. Ltd in the acquisition of majority stake in Elara Technologies Pte Ltd and indirectly in its Indian Subsidiaries (Oku Tech Private Limited, Locon Solutions Private Limited, Makaan.com Private Limited, Aarde Technosoft Private Limited, Proptiger Marketing Services Private Limited and Realty Business Intelligence Private Limited).
  • Represented Keppel Asia Infrastructure Funds in the proposed acquisition of several Indian SPVs in the business of owning and operating several solar/wind power projects in India.
  • Represented Total Solar Pte Limited in setting up a SPV India and providing a shareholders loan to the SPV.
