Shivpriya Gurtoo

Shivpriya practices primarily with the Banking & Finance team at JSA with experience in the debt transactions (secured, limited recourse, and syndicated), project finance, acquisition finance, structured finance, real estate financing, security creation, listed and unlisted debt instruments.

She regularly advises Indian and multinational banks, financial institutions, non-banking finance companies, funds, and Indian borrowers, in relation to real estate finance, project finance, corporate finance, debt restructuring transactions, debt capital markets issuances, and insolvency.

Shivpriya also has experience with fintech products and regularly advises banks and non-banking financing companies regarding digital banking products and services. Before joining JSA, Shivpriya worked as an in-house counsel with ICICI Bank Limited and has extensive experience with retail banking products.

She also advises clients on regulatory issues and exchange control laws, particularly those related to external commercial borrowings, and matters relating to security creation, perfection, and enforcement, and refinancing of debt.

She has been practicing law since 2019.

  • Citibank N.A. and Citicorp Finance (India) Limited, in connection with term loan facilities of INR 8,850 million granted to Barque Hotels Private Limited, Argon Hotels Private Limited and SAMHI JV Business Hotels Private Limited, subsidiaries of SAMHI Hotels Limited.
  • ICICI Bank Limited, in connection with term loan facilities of INR 597 million granted to HR Vaigai Private Limited, a company engaged in the energy sector.
  • L&T Limited, in connection with issuance of listed, unsecured, non-convertible debentures for an amount not exceeding INR 2000 crores.
  • 360 ONE Asset Management Limited (formerly known as IIFL Asset Management), in the issuance of unlisted, redeemable, non-convertible debentures aggregating up to INR 105 crores by Ace Urban Developers Private Limited, and issuance of unlisted, redeemable, non-convertible debentures aggregating up to INR 35 crores by Ace Urban Infocity Limited.
  • Grip Invest Advisors Private Limited, on the listing of privately placed securitised debt instruments on the National Stock Exchange, Mumbai – the first securitised debt instrument to be listed on the National Stock Exchange, Mumbai.
  • ICICI Bank Limited, and five other lenders in the consortium, in connection with the refinance of the existing exposure of ICICI Bank Limited in relation to the transfer of shareholding of Shree Jagannath Expressways Private Limited from the existing shareholders to Indian Highways Concession Trust. The Lenders had an existing exposure of INR 11.95 billion.
  • Arthashatra EpayLater Private Limited, in connection with the digital lending products offered by it.
