Rupaly Middha

Rupaly focuses on private equity, and mergers and acquisitions transactions. She has advised various private equity investors in relation to their investments in and exits from the Indian companies. She also regularly assists in legal due diligence efforts for clients across industries.

In addition to transactional work, Rupaly’s work experience includes advising Indian and foreign clients on matters relating to exchange control laws, securities laws and sector specific laws.

  • AssistedBekaertDeslee, a world-leading company in the mattress textiles, mattress covers and on trend sleep solutions industry, in relation to structuring and setting up of a strategic joint venture in India with the CMC Group.
  • Advised Aimia Inc and Paladin Private Equity on their acquisition of Tufropes Private Limited as well as the business undertakings of India Nets (a leading global manufacturer of high-performance synthetic fiber ropes and netting solutions).
  • Advised the State Bank of India on its private equity investment in DarwinBox Digital Solutions Private Limited as part of an extension to its Series D fund raise.
  • Assisted MPS Interactive Systems Limited, one of the wholly-owned subsidiaries of MPS Limited in its acquisition of 65% of the issued and paid-up share capital of Liberate Group i.e. Liberate Learning Pty Ltd (Australia), Liberate eLearning Pty Ltd (Australia), App-eLearn Pty Ltd (Australia), and Liberate Learning Limited (New Zealand).
