• Represented Reliance Communications Limited (Part of Anil D. Ambani Group) on preparation, negotiation and execution of transaction documents for proposed de-merger of its wireless business and merger of such business into Aircel Limited (Part of Maxis Group, Malaysia) and acquisition of 50% shareholding of Aircel Limited by Reliance Communications Limited.
• Represented Reliance Communications Limited and Reliance Infratel Limited on the India law aspects in respect of the proposed sale of its mobile towers business to Brookfield Infrastructure Group.
• Represented American & Efird Global, LLC, U.S.A. (A&E) (a part of KPS Capital Partner’s Portfolio Companies) to acquire majority ownership of Vardhman Yarns and Threads Limited (Vardhman Yarns and Threads), joint venture company, from its joint venture partner, Vardhman Textiles LTD. (Vardhman Textiles). Vardhman Yarns and Threads is the second–largest manufacturer and distributor of premium quality industrial and consumer sewing thread in India.
• Represented Adani Wilmar Limited in connection with the acquisition of the food processing unit of Parakh Agro Industries Limited.
• Represented Adani Logistics Limited in connection with internal restructuring of the Adani Group by acquisition of 100% shareholding in Adani Agri Logistics Limited from Adani Enterprises Limited.
• Represented DSV Group in connection with internal restricting of the DSV Group by acquisition by DSV Air & Sea Private Limited of 100% shareholding in Panalpina Global Business Services India Private Limited from DSV Panalpina A/s; and acquisition by DSV Air & Sea Private Limited of 100% shareholding in Panalpina World Transport (India) Private Limited from DSV Panalpina A/s.
• Represented Gilbarco Veeder Root India Private Limited (a part of the Fortive Group) in its acquisition of the fuel dispensing units and LPG dispenser’s business of Midco Limited.
• Represented Adani Power Limited in its proposed acquisition of the 49% shareholding in Odisha Power Generation Corporation Limited from AES India Private Limited and AES OPGC Holding.
• Represented Saint-Gobain India in various transactions, including acquisition of U.P. Twiga Fiberglass Limited.
• Represented Falfurrias Capital Partners in its acquisition of TGW India.
• Represented Broadcom in sale of certain India assets to Synaptics.
• Represented Sonepar India on acquisition of NM Automation & Control Private Limited.
• Represented Independent Sugar Corporation Limited, Bermuda in its acquisition of Hindusthan National Glass & Industries Limited.
• Represented BDO India on various transactions including acquisition of InfusAI Solutions Private Limited.
