Megha Upadhyaya, Associate, JSA

Megha is a Partner in the Finance practice of the firm. Her practice focuses on all types of debt transactions, including cross border finance, acquisition finance, structured finance, real estate finance, listed and unlisted corporate bond issuances and debt restructuring. She also advises on security enforcement and foreign investment laws of India.

She advises various Indian and international banks, NBFCs, private credit funds, foreign portfolio investors and Indian borrowers.

She holds an LL.M. degree in International Legal Studies from Georgetown University Law Center and has interned at the Washington DC headquarters of the Multilateral Investment Guarantee Agency (World Bank Group) during her LL.M. studies.

She is admitted to practice in India and New York (USA).

  • Advised Mu Sigma Inc. in connection with a US$ 394.3 million financing awarded the ‘Best High Yield Syndicated Loan’ 2017 by GlobalCapital Asia
  • Advised lenders in connection with a US$ 875 million facility to ONGC Videsh Limited
  • Advised a consortium of nine lenders in connection with INR 1700 crores facilities provided by the lenders to Evonith Metallics Limited and Evonith Value Steel Limited (erstwhile Uttam Galva entities)
  • Advised Vishal Mega Mart Private Limited in connection with INR 750 crores facilities availed by it from a consortium of lenders
  • Advised Standard Chartered Bank in connection with its subscription to unlisted, secured, non-convertible debentures aggregating up to INR 500 crores issued by the promoter group entities of a global pharmaceutical company
  • Advised Kotak Mahindra Bank Limited as the sole arranger in connection with the issue of listed, non-convertible debentures aggregating up to INR 475 crores by Sun Petrochemicals Private Limited
  • Advised Kotak Mahindra Investments Limited in connection with financings of up to INR 440 crores to Sobha Limited and Puravankara Limited for construction and development of a real estate project
  • Advised SunSource Energy Private Limited in connection with INR 420 crores facilities from BNP Paribas and Kotak Mahindra Bank Limited
  • AdvisedEvolutionX in connection with its subscription to unlisted, secured, non-convertible debentures aggregating up to INR 200 crores by Hiveloop Technology Private Limited (Udaan group)
  • Advised Indium Software (India) Private Limited in connection with the issue of up to INR 168 crores listed, secured, non-convertible debentures for part financing its acquisition of a majority stake in Experion Technologies (India) Private Limited
  • Advised the committee of creditors in the insolvency resolution process of Sintex Industries Limited
