Hemato Oncology’s stake sale to Tata Capital backed Cellcure Cancer Centre

JSA represented Hemato Oncology Clinic (Ahmedabad) Private Limited (“HOC“) and its shareholders in a strategic arrangement involving merger of HOC with Tata Capital Healthcare Fund backed Cellcure Cancer Centre Private Limited which operates well known cancer day care centres in Mumbai under the brand name Mumbai Oncocare Centre (“MOC“). The transaction is being undertaken in two phases concluding with a merger of HOC with MOC.

Both HOC and MOC provide medical oncology services and operate a chain of day care centres in Ahmedabad, Maharashtra and Madhya Pradesh, respectively. These chains are run by reputed medical oncologists. HOC is the only clinic in Gujarat which provides comprehensive treatment of cancers and hematological diseases.

Qualified institutions placement by RateGain Travel Technologies Limited

JSA advised IIFL Securities Limited and Axis Capital Limited in relation to the qualified institutions placement by RateGain Travel Technologies Limited (“RateGain“). RateGain filed a placement document on November 10, 2023 for an issue of 9,331,259 equity shares to qualified institutional buyers aggregating to approximately ₹ 6,000.00 million.

RateGain is a leading global provider of software as a service solutions in the hospitality and travel industry, offering travel and hospitality solutions across a wide spectrum of and is one of the world’s largest aggregator and processor of travel pricing data for the hospitality and travel industry.

Deal Value: INR 6,000 million

Acquistion of majority stake in Savaari Car Rentals Private Limited by MakeMyTrip

JSA assisted and advised MakeMyTrip (India) Private Limited (“MMT”) in relation to its majority investment in Savaari Car Rentals Private Limited (“Savaari”), a leading online cab booking aggregator providing both local and inter-city car rental services.

MMT is the leading online travel company in India which provides a bouquet of online services including airline tickets, domestic and international holiday packages, hotel reservations, homestays, rail and bus tickets etc.

JSA advised on structuring the deal, undertook the legal due diligence of Savaari and assisted in drafting the transaction documents.

JSA advises Casa2Stays in its Series C funding round

JSA represented FabHotels and TravelPlus (operating under the entity Casa2 Stays Private Limited) in its Series C fundraise of INR 1,280 million from Panthera Growth Partners and Accel. FabHotels is one of India’s leading budget hotel brands and TravelPlus is a business travel and expense management platform.

JSA advised on all aspects of this transaction starting from structuring, drafting, negotiating and finalizing the transaction documents, assistance with satisfaction of the conditions precedent as well as closing/post-closing actions and other related activities. JSA also advised the client on several other incidental and ancillary aspects of the transaction such as, facilitating promoter liquidity through a secondary transaction and overseeing various other corporate actions related to this transaction.

Incoming investor Panthera Growth Partners was represented by Shardul Amarchand Mangaldas, Accel was advised by their in-house legal team while existing investor Goldman Sachs was represented by Trilegal.
