Tony’s practice largely focuses on Corporate Commercial transactions in various industrial sectors. He is handling complex commercial contractual reviews, Due Diligence exercises, Mergers & Acquisitions, Foreign investment related matters, Real Estate, Employment law matters and multifaceted commercial negotiations on behalf of various clients.

His practice areas include advising clients on setting up business in India, day-to-day business operations, corporate compliance, licensing and regulatory issues. In addition, Tony regularly advises on all types of commercial and corporate contracts.

His experience in the Telecom and Information Technology (IT) sector involves providing regulatory advice, on setting up Call Centre operations and obtaining relevant licenses, software vendor contracts, service level agreements, technology licensing agreements, advice on setting up STPI’s (Software Technology Parks of India) and SEZ’s (Special Economic Zone) and general legal issues involving Telecom and IT companies.

Tony also advises overseas companies in setting up business operations in India, and assists them in setting up subsidiaries / branches / liaison office, Real Estate acquisition by way of lease or leave and license, obtaining various statutory registrations (such as Sales Tax, VAT {Value Added Tax}, Shops & Establishments, Income Tax), and conducting corporate compliance and legal audits.

Some of the key assignments in these areas handled and being handled by Tony, amongst others, cover the following: –

  • Assisted a leading global telecom company is setting up operations in India. This involved incorporation of the company, obtaining regulatory approvals from various authorities, providing regular legal advice etc.
  • Assistance in an M&A deals being one of the largest overseas buyout by an Indian software firm. Represented the seller in the share purchase transaction and was extensively involved with the due diligence process
  • Assisted a leading aircraft manufacturer in a lease transaction of aircraft simulators to an Indian commercial airline operator.
  • Assisted a leading global supplier of networking equipment and network management services in providing services in India. This involved substantial interpretations of prevailing regulations and constant liasioning with the regulatory authorities, these services being highly regulated in India
  • Assisted a leading global bank in revamping its existing documentation in India
  • Assisted a leading telecom company in India in setting up commercial operations in the States of Karnataka, Kerala and Kolkata. This involved commercial contractual documentation, regulatory approvals and regulatory compliances
