Siddhant Thakar

Siddhant’s practice area covers diverse areas of projects, regulatory, corporate and commercial work in the infrastructure sector. His areas of focus include energy, transportation, construction and engineering, and other infrastructure projects.

He has advised clients (including developers, investors, governments, and government authorities) on diverse matters spanning contractual, transactional and regulatory issues. Furthermore, has advised on public-private partnerships, including drafting model concession agreements.

His work has involved drafting, negotiating and/ or reviewing various contractual arrangements, including concession agreements, EPC arrangements, tender documents, power purchase agreements, and O&M arrangements. He has also been involved in undertaking due diligence exercise and advising clients in relation to investments and transactions in the energy and infrastructure sectors.

Some of the key assignments in these areas handled and being handled by Siddhant are, amongst others:

  • Advised Abellon Clean Energy Limited in relation to undertaking a vendor due diligence of Abellon Clean Energy Limited and its 5 (five) subsidiaries developing waste to energy plants in Gujarat. The assignment involves review of concession agreements, EPC contracts, and power purchase agreements entered into in relation to the plants.
  • Advised Tata Consortium in relation to the supply contracts for the production of military grade aircrafts for the Ministry of Defence, Government of India. The assignment involved (i) reviewing the bid documents and advising on the project structure and its compliance with the RFP and the defence procurement laws, and (ii) reviewing, revising and negotiating the terms of the supply contracts.
  • Advised Mytrah Energy (India) Private Limited in relation to a seller-side due diligence of the solar and wind portfolio of Mytrah Energy and its subsidiaries. The assignment involved review of the EPC contracts, power purchase agreements, O&M contracts and other project contracts in relation to solar and wind power plants across India.
  • Advised UPL Limited in relation to:
    • Undertaking a buyer-side due diligence of the project SPV owning the hybrid captive project, and advising on risk mitigation strategies;
    • Drafting, negotiating and revising transactional documents (share subscription agreement and shareholder’s agreement) and other project contracts (infrastructure sharing agreement, performance incentive agreement and energy supply agreement)
  • Advising Indian Ports Authority in relation to drafting model concession agreements for EOT (equip, operate and transfer) and O&M (operation and maintenance) models for PPP in the ports sector.
  • Advising Hero Future Energies on the transactional documents (share subscription agreement and disclosure letter) in relation to its renewable energy portfolio (solar and wind plants across locations in India). The assignment involves reviewing various documents/ contracts in relation to the said portfolio.
  • Advised Triarq Health India in relation to:
    • Drafting, revising and finalising a standard engineering, procurement and construction works contract (turnkey project) for the office spaces in Pune and Mumbai.
    • Drafting, revising and finalising project management contracts in relation to EPC works for offices in Mumbai and Pune.
  • Advising India Grid Trust in relation to undertaking a buyer side due diligence in relation to the purchase of an intra-state transmission system. The assignment involves reviewing the approvals, permits, clearances and authorisations obtained in respect of the project, and advising on the associated risk mitigation strategies for undertaking the investment.
  • Advising ST Telemedia on undertaking a due diligence in relation to the subscription of equity in the project SPV operating a hybrid project in Karnataka.
  • Advising Iron Triangle Limited in relation to:
    • Drafting, revising and finalising a Share Purchase Agreement in relation to a project SPV operating a 10 MW solar plant.
    • Drafting, revising and finalising a Business Transfer Agreement in relation to another 10 MW plant supply energy to SECI.
