Probir Roy Chowdhury

Probir specialises in corporate commercial, venture private equity and information technology/ fintech. His niche practice area involves information technology/fintech. He has advised global technology conglomerates on various areas of information technology laws including outsourcing, data protection and e-commerce issues. 

He has experience in providing general advice on content, negotiating carrier agreements and networking matters to IT & communications companies and their users, in international, public and private sectors.  He has extensively advised and assisted his clients on various product and service offerings, including payment structures, direct carrier billing systems and contractual arrangements with payment aggregators, digital enablement service platforms, hub-based domestic person-to-person money remittance technology solutions, products for financial inclusion and for direct card to merchant payments, among others.

Probir has been involved in corporate transactions focused on the high technology industry including cross border mergers & acquisitions. His transactional practice includes advice on transaction structuring, entry strategies and foreign exchange regulations. He liaises with Government regulators on a regular basis for cross border transactions. 

He has considerable experience in the venture capital/private equity practice as well, and has been involved in providing structuring advice for venture capital / private equity funds. He has assisted in setting up the overseas & India operations of such funds including assisting the funds in making investments in portfolio companies. 

Probir is involved in the education practice of the Firm. He has represented and has continued to advise Foreign Universities / Educational Institutions on their India investment initiatives. He is also involved in the Corporate Social Responsibility & Pro Bono Practice of the Firm and undertakes assignments in the social impact and development sector of India which includes working with International NGOs and Think Tanks. 

Some of his key assignments include:

  • Advise and assistance to Brocade Communications Systems Private Limited and Extreme Networks India Private Limited in a global transaction involving Extreme’s acquisition of Brocade’s data centre business. He has also advised and assisted Extreme Networks India Private Limited in its global acquisition of Avaya India Private Limited’s networking business 
  • Assistance in Broadcom Communications Technologies Private Limited in a global transaction involving a sale of its Internet of Things business to Cypress Semiconductor Technology Private Limited. The sale was for a consideration of INR 110 million approximately 
  • As part of his high technology industry focus, he has advised and assisted Marvell Technology Group in a global transaction involving the sale of its Multimedia Solutions Business to Synaptics Inc. The sale was for a consideration of approximately USD 95 million
  • He guided a supply chain management company, Keystone Logic Solutions Private Limited, in relation to the sale of its business to Zensar Technologies Limited, for an aggregate consideration of approximately US$ 20 Million
  • Assisted Aggreen Tech Private Limited in relation to a Series A investment by Elevar M-III. The investment was for a total consideration of INR 100 million
  • Spearheaded a late stage growth venture capital fund operated by a global technology conglomerate in a US$15 Million Series B funding in Cue Learn Private Limited
