Pranavi Pera

Pranavi is a part of JSA’s corporate commercial and technology, media and telecommunication (TMT) practice. Pranavi’s focus areas are Mergers & Acquisitions (M&A), Private Equity (PE) & Venture Capital and General Corporate Commercial.

Pranavi advises clients on the regulatory and contractual front; and has assisted companies across various stages of their life cycle (from incorporation to acquisitions) and has advised investors at different stages of investment (from seed rounds to exits).

Her regulatory expertise ranges from foreign exchange laws, data privacy laws, e-commerce regulations, employment laws and regulations in relation to payment systems in India. She has negotiated on behalf of various technology companies as well as investment funds, has drafted transaction documents for complex domestic and cross-border transactions and has guided all parties through closing and post-closing actions. In addition to transactional drafting and advice, Pranavi has also negotiated commercial contracts for companies in different sectors such as fintech, manufacturing, deep-tech, edutech, agri-tech and others.

She has been practicing law since May 2018. Before joining JSA, she worked with Argus Partners and Saakshya Law.

Some of the key assignments in these areas handled and being handled by Pranavi amongst others, cover the following: –

  • Regularly provide advice in relation to a client’s UPI-based payment system offering and related products and features;
  • Worked on a compliance matrix for a client’s UPI-based technology services offering;
  • Advised a global online gaming tech company with its acquisition of an Indian company in the same field, including assessment of the viability of the offerings by such target company based on India’s gaming law landscape;
  • Advised various companies with their data protection queries including preparation of country specific impact assessments and employee data processing consent forms;
  • Advised a fintech company and its NBFC-subsidiary on their day-to-day legal requirements and regulatory concerns, and negotiated complex partnership contracts on their behalf;
  • Advised the Indian subsidiary of a UK-based conglomerate with contract drafting, review and negotiations, analysis of applicable law, issues with FEMA compliance, compounding of contraventions and other issues in relation to regulatory compliance; and
  • Advised and negotiated a founder’s exit in a complex deal involving non-compete obligations imposed on the founder by the company.
