Kartikeya G. S., Principal Associate, JSA

Kartikeya specializes in projects, regulatory and policy related work in the infrastructure sector. He advises domestic and international clients (including developers, investors, banks, multilateral agencies, governments, and government authorities) on diverse matters spanning contractual, transactional and regulatory issues. His areas of focus include energy (electricity and renewable energy), transportation (roads, airports, railways, and ports), mines and minerals (including critical and transmission minerals), construction and engineering, and urban infrastructure (metro railways, sanitation, and water).

His work involves drafting, negotiating, and reviewing various contractual arrangements, including concession agreements, tender documents, power purchase agreements, transmission service agreements, EPC arrangements, and O&M arrangements. His experience covers public private partnerships (on both the buy-side and sell-side) in multiple infrastructure sectors. He also assists government authorities in drafting and reviewing primary and subordinate legislation.

He is a frequent contributor of articles on the infrastructure sector in notable publications. He has also been recognised as a ‘Rising Star – Partner’ by the IFLR1000 2023-24 (33rd edition), and as a ‘Rising Star’ by Asian Legal Business in 2022.

  • Advised Airports Authority of India on the successful award of the concessions for brownfield development of the Ahmedabad, Guwahati, Jaipur, Lucknow, Mangaluru and Trivandrum airports.
  • Advising various State Governments on the successful auction of mineral concessions for major minerals (mining leases, composite licences, and exploration licences) and minor minerals.
  • Advising Government of Odisha on the award of concession for the development, operation and maintenance of the greenfield Sri Jagannath International Airport on a DBFOT basis.
  • Advised Pune Metropolitan Region Development Authority on the successful award of the concession for developing the Pune Metro Line III (Hinjewadi-Shivajinagar) Project on a DBFOT basis.
  • Advised National Highways Authority of India on the successful award of concessions on the InVIT and TOT modes as part of its asset monetization initiative.
  • Advised The World Bank and Ministry of New and Renewable Energy, Government of India on the bid documents for award of seabed leases for development of offshore wind energy facilities.
  • Advised IndiGrid on its successful acquisition of transmission and generation assets, including undertaking legal and regulatory due diligence and reviewing/ finalising the transaction documents.
  • Advised various IPPs and off-takers on structuring and negotiating their power supply arrangements, including captive offtake arrangements.
  • Advised Energy Efficiency Services Ltd and Asian Development Bank on rolling out ‘convergence’ business envisaging seamless integration of new and emerging technologies (including energy storage).
  • Advised Envision Wind Power Technologies India Pvt Ltd on the successful settlement of disputes arising out of the engineering, procurement and construction contracts for wind projects in Gujarat.
  • Advised ACME Cleantech Solutions Ltd on standardizing its operation and maintenance agreements for solar photovoltaic plants.
  • Advised Hero Future Energies on successful investment by Masdar and IFC, including undertaking a vendor due diligence of its entire renewable energy portfolio (solar, wind and solar-rooftop).
  • Advised PowerGrid Corporation of India Ltd on the successful transfer (by way of slump sale) of its telecommunications business to its wholly-owned subsidiary, PowerGrid Teleservices Ltd.
  • Advised Government of Manipur on the successful unbundling of the Electricity Department, Government of Manipur in accordance with the Electricity Act, 2003.
  • Advised Ministry of Finance, Government of India on drafting the proposed Public Contracts (Resolution of Disputes) Bill, 2016, and Public Private Partnership Rules.
  • Advised Ministry of New and Renewable Energy, Government of India on drafting the proposed Renewable Energy Bill, 2016.
  • Advised United Nations Development Programme and Ministry of Environment, Forest and Climate Change, Government on India on developing an emissions trading scheme for India.
