Kartikeya G. S., Principal Associate, JSA

Kartikeya specializes in projects, regulatory and policy related work in the infrastructure sector. He has advised domestic and international clients (including developers, investors, banks, multilateral agencies, governments, and government authorities) on diverse matters spanning contractual, transactional and regulatory issues. His areas of focus include energy (electricity and renewable energy), transportation (roads, railways, and ports), mines and minerals, construction and engineering, and urban infrastructure (metro railways, sanitation, and water).

His work has involved drafting, negotiating, and reviewing various contractual arrangements, including concession agreements, tender documents, power purchase agreements, transmission service agreements, EPC arrangements, and O&M arrangements. His experience covers public private partnerships (on both the buy-side and sell-side) in multiple infrastructure sectors. He has also been involved in assisting government authorities in drafting and reviewing primary and subordinate legislation.

He is a frequent contributor of articles on the infrastructure sector in notable publications. He has also been recognised as a ‘Rising Star’ by the IFLR1000 2020 rankings.

Some of the key assignments in these areas handled and being handled by Kartikeya are, amongst others:

  • Advising Airports Authority of India on the successful award of separate concessions for the operation, development and management of the Ahmedabad, Lucknow and Mangaluru airports. The assignment has involved drafting the bid documents (including the concession agreements) and advising on the conduct of the bid process, evaluation of bids, and award of the concessions.
  • Advising various State Governments on the successful auction of mineral blocks under the framework of the Mines and Minerals (Development and Regulations) Act, 1957 and rules issued thereunder. The assignments have involved drafting the tender documents, and advising on the conduct of the bid process.
  • Advised Pune Metropolitan Region Development Authority on the successful award of the approx. USD 1.2 billion Pune Metro Line III (Hinjewadi-Shivajinagar) Project to be developed on DBFOT basis. The assignment involved drafting the bid documents (including the concession agreement) and advising on the conduct of the bid process.
  • Advised and assisted Ministry of Finance, Government of India on drafting the proposed Public Contracts (Resolution of Disputes) Bill, 2016, and Public Private Partnership Rules.
  • Undertook a vendor due diligence for Hero Future Energies of its entire renewable energy portfolio (solar, wind and solar-rooftop) spanning locations across India, and advised on the investment by the counterparty.
  • Advised Government of Manipur on the legal aspects for unbundling the generation, transmission, and distribution functions of the Electricity Department, Government of Manipur in accordance with the Electricity Act, 2003.
  • Advised various IPPs and off-takers on structuring and negotiating their captive power supply arrangements in light of the framework under the Electricity Act, 2003 and extant jurisprudence.
  • Advised Delhi Mumbai Industrial Corridor Development Corporation Limited on the successful award of the concession for operating an international convention and expo centre in the National Capital Region. The assignment involved drafting the tender documents, and advising on the conduct of the bid process.
