Ayan Sinha, Associate, JSA

Ayan is a member of the Corporate Commercial practice. He has experience in advising on Oil & Gas and Renewable Energy project development. In addition, he also advises on other infrastructure projects in the Roads, Healthcare and Ports sector and has also advised clients on issues pertaining to public procurement.

Ayan has been previously involved in advising both private and public sector clients in respect of various infrastructure projects including roadways, ports, healthcare and agriculture logistics. In respect of Renewable Energy projects, Ayan has been involved in advising clients on establishment of multiple wind power, and solar projects in India and this included advising clients on EPC (Engineering, Procurement & Commissioning) contracts and O&M (Operations & Maintenance) contracts in relation to diverse projects.

Ayan has been practicing law for four years and has prior experience with Luthra & Luthra Law Offices and Ernst & Young in New Delhi.

Some of the key assignments in these areas handled and being handled by Ayan, amongst others, cover the following:

  • Advising Indian Oil Corporation (IOCL) on the due diligence aspects of its acquisition of a polymer plant and facility overseas, which includes review of Offtake Agreements, Feedstock Supply Agreement and several Utilities Agreements entered into by the target company.
  • Advising the Indian Gas Exchange (IGX) in operationalizing the Indian Gas Exchange platform, a market for trading in natural gas, including review of its market rules, bye-laws, advising on regulatory aspects governing the formation of the exchange and review of Gas Transportation Agreements proposed to be executed by IGX.
  • Advised wind energy company Senvion India in drafting, reviewing and negotiating various documents, inter alia, Turbine Supply Agreement, Operations and Maintenance Agreement, Engineering, Procurement and Commissioning (EPC) Contract
