• Advised and assisted Mahindra and Mahindra Limited on the transfer of its 4-wheeler passenger electric vehicle business to its wholly owned subsidiary and for undertaking an investment from Mahindra and Mahindra Limited and British International Investment aggregating to INR 3,850 Crores.
• Advised and assisted Mahindra and Mahindra Limited on the transfer of its last mile mobility business to its wholly owned subsidiary and for undertaking an investment of INR 600 Crores by International Finance Corporation.
• Advised and assisted the PerkinElmer Group on the Indian Leg of the sale of its Applied Food and Enterprise Services Businesses to New Mountain Capital.
• Conducted legal due diligences on various target companies in varied sectors including Food and Beverage, Information Technology, Insurance, manufacture of Polymers and Digital Media.
• Advised by way of legal opinion on Indian Companies Act compliance, Foreign Exchange Management Act Compliance, SEBI Compliance Queries on Motor Vehicle Act etc.
• Advised and assisted the Shapoorji Pallonji group in the sale of Eureka Forbes Limited to Advent International for INR 4,400 Crores.
• Independently advised Sterling & Wilson Solar Limited in preparing a disclosure letter for sale of the shareholding of Shapoorji Pallonji Group Company to Reliance New Energy Solar, a subsidiary of Reliance Industries Limited
• Advised Lok Capital on its strategic investment in GrowxCD an NBFC resulting in a change in control of the NBFC.
• Assisted Vijaya Diagnostics, a listed company, in its acquisition of PH Diagnostic, Pune.
• Conducted and managed teams for carrying out legal due diligences on various target companies and LLP’s in varied sectors including pharmaceuticals, logistics, Non-Banking Financial Institutions, warehousing, e-commerce, agrotech, insurance, medical diagnostic, Eye care, etc., which involved identifying red flags and designing a pathway for risk mitigation.
• Advised and independently carried out multiple executions, closings, and completion of conditions precedents and conditions subsequent for various transactions.
• Assisted and advised on various debt financing transaction (loan and debentures) including the drafting and review of facility and security documents.
• Advised foreign client by way of legal opinion on labour laws, debt structuring, document enforcement, etc.
• Assisted and independently incorporated various private limited companies under the Indian Companies Act, 2013 including a One Person Company
• Assisted and independently facilitated regulatory filings for companies with the Registrar of Companies and the Reserve Bank of India.
• Assisted and advised on trademark mark filings for various startups including drafting of affidavits of prior use, and replies to objections raised by trademark authorities.
• Assisted in carrying out a PAN India survey on the effect of demonetization on the economy.
