Aditya Vardhan Dayal

Aditya specializes in private equity & venture capital investments, acquisitions, and cross-border transactions. He deals with a wide variety of client servicing requirements throughout the life-cycle of a transaction, including entry and structuring, due diligence, foreign exchange and regulatory compliances, transaction advisory, negotiations and closing of the transaction. Aditya also regularly advises on various aspects of Indian law, including general corporate compliances, corporate restructuring, listed entity requirements, and control related matters. He has experience handling takeover situations, and significant expertise in NBFC transactions. 

Aditya has represented marquee investors in their investments in Indian companies, and also brings considerable in-house counsel experience.

  • Advised Apothecon and its founders on an investment of ~USD 270 million by Everstone in the Apothecon Group.
  • Advised LeapFrog on a USD 95 million investment by a LeapFrog-led consortium in ReNew Green Energy Solutions Private Limited
  • Advised a client (currently operating in the food catering space in India) in successfully securing the approval of the Government of India for undertaking retail trading of food and beverages manufactured or produced in India by other manufacturers.
  • Advised ID Fresh Food in connection with investment and acquisition of shares by Apax Partners. 
  • Advised Signify Innovations India Limited (Signify India) in connection with its joint venture with Dixon Technologies (India) Limited for carrying out OEM business of lighting products and accessories. 
  • Advised Growtheum Capital Partners in relation to the investment in Wonder Homes Finance. 
  • Advised Synova on its investment in Klearcom. 
  • Advised Centrum Capital Limited in relation to its exit from Centrum Housing Finance Limited by sale of shares to Weaver Services Private Limited. 
  • Advised Adroit USA Inc., and its wholly owned subsidiary – AUSA Medical Devices Private Limited and their promoters, in connection with the 100% sale of Adroit USA Inc. and AUSA Medical Devices Private Limited to Medical Device, Inc. (an entity set up by Arterex for the purposes of the acquisition). 
  • Advised La Renon Healthcare in relation to the acquisition of shares by Creador and Sigular Guff. 
  • Advised LivWell in connection with its proposed insurance joint venture with Angel One. 
  • Advised PPAP Automotive Limited in connection with sale of its stake in its joint venture to the joint venture partner, Tokai Kogyo Co. Ltd. 
  • Advised JQR Sports (India) Private Limited in connection with the investment by Venturi. 
  • Advised a client (currently operating in the food catering space in India) in successfully securing the approval of the Government of India for undertaking retail trading of food and beverages manufactured or produced in India by other manufacturers.

  • Assisting ReNew Power Ventures Private Limited on the acquisition of Ostro Energy Private Limited (along with its subsidiaries and joint ventures) from Ostro Renewable Power Limited. 
  • Assisting Morgan Stanley Private Equity Asia on their first investment in Five-Star Business Finance Limited, a non-banking financial company. 
  • Assisting Warburg Pincus on their investment in Rivigo. 
  • Assisting Plutus Financials on their acquisition of two Indian systemically important NBFCs. 
  • Assisting API Holdings (Pharmeasy) on its acquisition of Medlife group. 
  • Assisting Fidelity/ Eight Roads on their investment in API Holdings (Pharmeasy). 
  • Assisting with a one-time settlement with 16 lenders and NCD holders.
