Manuel Jose, Parner, JSA

Manuel’s practice focuses primarily on corporate transactional matters such as cross-border acquisitions, joint ventures, strategic alliances, private equity and venture capital investments, business re-organizations or transfers, and other corporate acquisitions and exits. His practice includes advice on structuring, in-bound and outbound investment and general corporate advisory. He has been representing multi-national and domestic companies in transactions across industry sectors.

Manuel also advises domestic and international clients on establishment of new business operations in India including advising them on related corporate, secretarial and compliance requirements. He provides general legal handholding for his clients to set up their operations in India and offers his advice on all types of commercial and corporate contracts.

Prior to joining JSA, Manuel was with the Bangalore office of Kochhar & Co. He has been practicing since 2005.

Some of the key assignments in these areas handled and being handled by Manuel amongst others, cover the following:

  • Advised and assisted Sankalp Semiconductor Private Limited, a company engaged in providing semiconductor design services, in connection with acquisition of its shares by HCL Technologies Limited. As part of the transaction, HCL also purchased the 40% stake in Sankalp held by Stakeboat Capital Fund – 1. Manuel also advised Stakeboat regarding its exit. The value of the deal was approximately INR 1.76 billion.
  • Advised and assisted the promoters of agro-processing equipment maker Milltec Machinery Limited, in connection with its acquisition by Ag Growth International Inc. 49% of the stake in Milltec as held by Multiples Private Equity Fund (and its affiliates), was also sold as part of this transaction. The value of the deal was approximately INR 10.23 billion, which also includes consideration based on achievement of identified targets.
  • Advised and assisted Nutreco International B.V., a Dutch animal nutrition and aqua feed multi-national firm and a subsidiary of SHV Holdings N.V., in connection with setting up its joint venture entity, Aquamart Feeds Private Limited, with the West Coast Group. The West Coast Group owns shrimp hatcheries, farms and processing plants, distributes shrimp feed and markets domestic and imported frozen food products, and their flagship consumer brand is Cambay Tiger. The value of the deal was approximately Euro 16.3 million.
  • Advised and assisted Solutions Infini Technologies (India) Private Limited, in connection with its acquisition by Kaleyra S.P.A. (formerly known as Ubiquity S.R.L.), an Italy based messaging platform provider.
  • Advised and assisted ShoreCap II Limited, a Mauritius fund (managed by Equator Capital Partners, LLC), both in connection with its (i) investment in Chaitanya Rural Intermediation Development Services Pvt. Ltd. and Chaitanya India Fin Credit Pvt. Ltd.; and (ii) subsequent exit by sale to Navi Technologies (formerly BACQ), the investment firm founded by Sachin Bansal.
  • Advised and assisted AJ Ventures and Investments, on its investments into various entities such as Kyvor Genomics Private Limited, HyperKonnect Technologies Private Limited (ShopUp), Laundry Projects India Private Limited (Wassup) and Ubiquitous Foods Private Limited (Oven Fresh).
