Tanvi Trivedi, Senior Associate, JSA

Tanvi specializes in projects, regulatory and policy related work in the infrastructure sector, including the energy (electricity and renewable energy), transportation (roads, railways, and ports) and urban infrastructure (metro railways, sanitation, and water) sectors.

She has advised domestic and international clients (including developers, investors, banks, multilateral agencies, governments, and government authorities) on diverse matters spanning procurement, contractual, transactional and regulatory issues.

Her work involves drafting, negotiating, and reviewing various contractual arrangements, including concession agreements, tender documents, power purchase agreements, transmission service agreements, EPC arrangements, and O&M arrangements.

Her experience covers public private partnerships (on both the buy-side and sell-side) in multiple infrastructure sectors. He has also been involved in assisting government authorities in drafting and reviewing primary and subordinate legislation.

She has been practicing law since 2014. Before joining JSA, she was working with Trilegal and the World Bank.

Public Private Partnerships

  • Drafting the bid documents, evaluating the legal and regulatory framework, and advising the client on risk mitigation measures in respect of the operation and maintenance of a warehousing facility.
  • Drafting the bid documents, evaluating the legal and regulatory framework, and advising the client on risk mitigation measures in respect of the operation of an international convention and expo centre in the National Capital Region.
  • Advised the state governments of Gujarat, Maharashtra, Madhya Pradesh, Odisha and Telangana on conducting electronic auctions for the purpose of granting mining leases/ composite licences (both with and without specified end-use) in respect of mineral blocks under and in accordance with the Mines and Minerals (Development and Regulation) Act, 1957 and the Mineral (Auction) Rules, 2015, as amended from time to time. The assignment involved drafting, reviewing, revising and finalising the model tender documents for conducting the auctions, as well as advising and assisting the respective state governments on various aspects relating to the regulatory framework and conduct of the bidding process.
  • Drafting the bid documents, evaluating the legal and regulatory framework, and advising the client on risk mitigation measures in respect of the development of a hotel, retail facility and office facility at the international convention and expo centre in the National Capital Region
  • Drafting the bid documents, evaluating the legal and regulatory framework, and advising the client on risk mitigation measures in respect of the development of a Multi-modal Transportation Hub on Public Private Partnership basis.
  • Advised TATA Group on USD 1.2 billion Investment into GMR Airports along with SSG Capital and GIC;
  • Advised Patentes TALGO SLU on:Bid advisory, consortium arrangement and supply cum services agreements for Train 20 Project of ICF, Indian Railways.   • Advised a client in the risk assessment of DMRC Line 5 Concession Agreement;
  • Advised a US based client on terms and conditions of the tender documents and identifying any legal risks;
  • Advised a US client in connection with the bid and roll out of Mahanet Project under the Smart Cities;
  • Advised PMRDA in rolling out and successful award of USD 1.2 Metro Line Project in Pune on a new PPP structure;
  • Advised Cotton Corporation of India in respect of selection of an entity for the operation and maintenance of a warehousing facility;
  • Advised DFCCIL on the operation of an international convention and expo centre in the National Capital Region;
  • Advised DFCCIL in respect of the development of a hotel, retail facility and office facility at the international convention and expo centre in the National Capital Region;
  • Advised BLP Energy Limited in connection with bid advisory re. procurement of wind power by SECI;
  • Advised IRSDC in respect of the development of a Multi-modal Transportation Hub on Public Private Partnership basis; and
  • Advised Honeywell and drafting a principles procurement document addressing the concerns faced by the Contractors in their dealing with Public sector undertakings and Owners, to be presented to the Government

 

Power

  • Conducting a legal due diligence exercise in respect of a wind power project in Andhra Pradesh. The assignment involved analysing the applicable legal and regulatory framework, as well as identifying the key issues with respect to the contractual documents (offtake, EPC, evacuation) and regulatory approvals in relation to the project.
  • Drafting an operation and maintenance agreement for a client in respect of a solar photovoltaic plant. The exercise was aimed at creating a standardised draft that can be used across projects.
  • Conducting a legal due diligence exercise in respect of a thermal power project in Telangana. The assignment involved analysing the applicable legal and regulatory framework, as well as identifying the key issues with respect to the contractual documents (offtake, EPC, evacuation) and regulatory approvals in relation to the project.
  • Drafting a petition for redetermination of tariff for an inter-state transmission project. The assignment involved drafting a petition seeking adjustment of tariff determined through competitive bidding due to a change in law and force majeure.
  • Advising a client on the structuring of the ownership and offtake with respect to a captive power plant based on the extant legal and regulatory framework.
  • Preparing a report setting out the compliance by the parties to a power purchase agreement with their obligations under such agreement and advising on the measures to be taken in case of non-compliance
