Shruthi Pillai

Shruthi is a 2018 graduate from National Law University Odisha and is a member of the Corporate Commercial and Regulatory & Policy practice. She has experience in advising on conventional and renewable energy project development. In addition, she also advises on other regulatory and policy matters in the projects, infrastructure and energy sector and has also advised clients on issues pertaining to public procurement. Her areas of focus include energy (electricity and renewable energy), transportation (roads, railways, and ports). She has been involved in reviewing and drafting power purchase agreements, non-disclosure agreements, operation & maintenance contracts, concession agreements, requests for proposals and term sheets.

Shruthi has been practicing law for three years and has prior experience with Trilegal and Cyril Amarchand Mangaldas in New Delhi.

  • Undertook a vendor due diligence for Hero Future Energies of its entire renewable energy portfolio (solar, wind and solar rooftop) spanning locations across India.
  • Drafting and reviewing various project and commercial documents such as power purchase agreements, non-disclosure agreements, concession agreements.
  • Reviewing concession agreements, pre bid queries and responses to the same for development of 50 MLD sea water desalination plant for Gujarat Water Infrastructure Limited.
  • Conducting due diligence in respect of an EPC agreement for Larsen & Toubro Limited addressing the concerns faced by the contractors for construction, testing & commissioning of India International Convention & Expo Centre.
  • Advised Premier Energies Limited on negotiations with the buyer related to the manufacture and supply of solar modules for the Buyer’s solar power plant and reviewing of their module supply agreement.
  • Advising Adani Power Limited on the setting up of their Group Captive structure for offtake of electricity by consumers, including but not limited to regulatory compliance and the drafting and reviewing of several structure related documents such as bye-laws of cooperative societies formed for the same.
  • Advised Prism Johnson Limited in drafting of contracts related to the setting up of a cement grinding unit.
  • Undertook due diligence for SB Energy Holdings in relation to the development and operation of solar PV power project spanning locations across India.
  • Advised Amplus Solar for developing ground-mounted solar power project in Rajasthan and prepared regulatory report setting out the regulatory framework for development of solar power projects in Rajasthan.
  • Analysed various models including toll operate transfer model, infrastructure investment trust model, acquire-lease-transfer model for SBI Capital Markets Limited in relation to monetization of assets by Power Grid Corporation of India Limited.
  • Advised Sprng Energy Private Limited in relation to preparing list of the key consents and approvals required to be obtained for developing solar power project in Andhra Pradesh.
  • Prepared a paper for Invest India to be presented to DPIIT, for enhancing ease of doing business to promote exploration and production in mineral sector.
  • Undertook a due diligence for Cauvery Iron and Steel (India) Ltd in relation to thermal power plant and steel plant developed in the state of Hyderabad.
  • Undertook due diligence for Power Finance Corporation Limited, in relation to solar power plant developed in the state of Karnataka by Renew Wind Energy (Karnataka 3) Private Limited.
