Sahil Shah, Principal Associate, JSA

Sahil’s key focus areas are mergers & acquisitions and private equity, corporate / business structuring and restructuring (including joint ventures) as well as debt restructuring.

Sahil specialises in establishment of funds (both onshore and offshore) and investments by such onshore & offshore funds and investment vehicles including general or sector specific private equity fund vehicles, alternative investment fund vehicles and other pooled investment vehicles.

Sahil also advises on investment by onshore & offshore funds and investment vehicles including general or sector specific Private Equity vehicles, Venture Capital funds, Mutual funds and other pooled investment vehicles.

Sahil also advises on cross border trade finance transactions.

He has extensive experience in advising domestic and international clients on various facets of law including general corporate commercial laws and exchange control laws. Sahil has been actively involved in filing of applications for approvals and reporting with the RBI and the Government of India. He has dealt closely with these authorities.

He has been practicing law since 2004. Before joining JSA, he was with Nishith Desai Associates, one of India’s premier law firms.

Some of the key assignments in these areas handled and being handled by Sahil amongst others, cover the following:-

  • Assisted in formation of the IAN Fund I with a corpus of INR 4.5 billion, promoted by Indian Angel Network
  • Assisted in converting a privately managed account into an alternative investment fund structure for the fund for investments in debt instruments
  • Assisted in formation of a Category II AIF for Mirae Assets Capital Markets (India) Private Limited with a corpus of INR 15 billion
  • Assisted in formation of a Category II AIF for investments in the education and other infrastructure sector
  • Assisted Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V. (FMO) in its investment in BanyanTree India Growth Capital Fund
  • Assisted Oil and Natural Gas Corporation (ONGC) in setting up of a category I AIF in India of INR 101 crores
  • Assisting in formation of a debt fund in India for refinancing
  • Assisted private equity funds to make investments in technology, hospitality, services, ITES as well as real estate sectors
