Rohitashwa Prasad, Partner, JSA

Rohitashwa is a U.S. qualified lawyer focusing on Mergers & Acquisitions, Capital Markets, and General Corporate Commercial laws.

He has significant experience in matters relating to FDI in India, overseas investments by Indian companies, the Indian Takeover Regulations, Joint Ventures, Asset Sales, and Corporate Reorganizations. He has represented various strategic and financial investors, particularly Private Equity & Venture Capital firms, and investee companies in a wide variety of investments. His role in these transactions has included negotiations, drafting, complex structuring, rendering strategic advice, and interacting with major international law firms and financial services providers.

Rohitashwa has extensively represented various underwriters and issuers in diverse industries in a wide variety of Capital Markets transactions, including IPOs, QIPs, GDRs, and FCCB offerings.

Prior to joining the Firm, Rohitashwa was an Associate in the Singapore office of White & Case, a leading U.S. law firm. At White & Case, he represented various multinational businesses, state-owned entities, Private Equity & Venture Capital investors, particularly in the Telecom, Oil & Gas, and Healthcare industries in S-E Asia.

Rohitashwa has practiced Civil Litigation for three years in the High Court of Patna and in the Supreme Court of India. He has an LL.M. from Harvard Law School and is admitted to practice in the State of New York.

  • Represented Punj Lloyd Limited, one of the largest engineering and construction companies in India in the energy and infrastructure industries, in its ` 8.1 billion Qualified Institutions Placement (“QIP”).

  • Represented Rexnord Corporation, a NYSE listed company in the acquisition of Euroflex Transmissions (India) Private Limited, a leading supplier of high performance disc couplings, used in power generation, gas compression, and industrial process machinery applications.
  • Represented Franklin Electric Company Inc., a leading global provider of water systems and fueling systems, in its acquisition of 70% of the shares of Pluga Pumps and Motors Limited, which designs, manufactures, and distributes groundwater motor and pumping equipment throughout India
  • Represented Nabtesco Automotive Corporation, Japanese market leader for producing air-brake components, in its joint venture in India with leading Indian auto components manufacturer Uno Minda (NK Minda Group) for designing, manufacturing and sales of air brake products for commercial vehicles and clutch products for passenger vehicles.
  • Represented Novateur Electrical and Digital Systems Private Limited, a group company of Legrand SA of France, in its acquisition of majority stake in Adlec Power Private Limited and joint venture with the promoters of Adlec Power.
  • Represented Amrit Banaspati Limited, a BSE listed company, and its promoters and group companies, in the sale of their edible oils and fats business and related assets to a wholly-owned subsidiary in India of Bunge Limited for ` 3.72 billion.
  • Represented Indo Asian Fusegear Limited, a NSE listed company, and its promoters and group companies, in the sale of their switchgear business and related assets to a wholly owned subsidiary in India of Legrand SA of France for ` 4.95 billion.
  • Represented Heidelberg Cement in its acquisition of a majority stake in Mysore Cements Limited for ` 4.96 billion.
  • Represented Actis in its ` 2.8 billion acquisition of majority control of Phoenix Lamps Limited, a manufacturer of auto components for OEMs.
  • Represented Carlyle in its ` 1 billion investments in Allsec Technologies Limited, a company engaged in providing voice and non-voice based business process outsourcing services.
  • Represented Info Edge (India) Limited (Naukri.com), a BSE and the NSE listed company, in the following investments in e-commerce companies:
    • 1,430 million investment in various rounds in Zomato Media Private Limited, which runs the restaurant directory site Zomato.com
    • 270 million investment in Kinobeo Software Private Limited, a provider of online group discount deals through its web portal Mydala.com
    • 200 million investment in Applect Learning Systems Private Limited, an educational content developer which runs Meritnation.com
    • 300 million investment in Etechaces Marketing and Consulting Private Limited, an online life and general insurance aggregator, which runs the portal Policybazaar.com
    • 157 million investment in Ninety Nine Labels Private limited, an online retailer of merchandise, principally through the web portal 99labels.com
  • Represented Simbhaoli Sugars Limited, one of India’s largest sugar refiners, in its joint venture with Sindicatum Sustainable Resources Group, a global developer, investor and operator of clean energy projects, for conducting the business of biomass based power generation in the state of Uttar Pradesh.
  • Represented PTC India Financial Services, a NBFC set up to undertake investments across the Indian energy value chain and energy related infrastructure projects, in a private equity investment for 40% of its paid up capital by Goldman Sachs and Macquarie India.
  • Represented PTC India Financial Services in the sale of a 14.01 per cent equity stake in Indian Energy Exchange Limited (India’s largest power trading exchange), to Multiples Alternate Asset Management for ` 707.6 million.
  • Represented GETIT Infoservices Private Limited, a company engaged in yellow pages business in India, in a private equity investment by Helion Venture Partners India and subsequent investment by the Astro Group of Malaysia.
  • Represented Bakers Circle India Private Limited, a company engaged in processing, selling and distributing specialized frozen foods, in a private equity investment by GIA (BCI) Holdings and Yukti Securities.
  • Represented Asia Pacific Breweries Limited (Heineken) in its acquisition of 100% of Aurangabad Breweries Limited, a company engaged in the business of brewing, bottling, marketing and distribution of beer in the States of Maharashtra and Goa.
  • Represented a consortium of Shinsei Bank, J.C. Flowers, and Punjab National Bank in their bid for an equity stake in IFCI Limited, one of India’s largest development financial institutions.
  • Represented Stoneridge, Inc. in its strategic investment in Minda Instruments Limited, for manufacturing and marketing of electronic instrumentation, sensors, actuators, and switches for OEMs.
  • Represented Uniparts India Limited, a manufacturer of linkage parts for mechanised agricultural equipment, in a private equity investment by AIG.
  • Represented Uniparts in its acquisition of controlling stake in Olsen Engineering of Iowa, U.S.A., a manufacturer of construction and agricultural equipment.
  • Represented Uniparts in its acquisition of a controlling stake in Kavee B.V., a Dutch company, engaged in the manufacture of hydraulic cylinders, valves, and systems for use in agricultural, construction, and industrial equipment.
  • Represented Shivalik Bimetal Controls Limited in its joint venture in India with Arcelor Mittal (Stainless & Nickel Alloys) for manufacturing and marketing industrial clad materials.
