Pallavi Puri, Partner, JSA

Pallavi specializes in Mergers & Acquisitions (both Listed and Unlisted), Private Equity investments and General Corporate Commercial.

Pallavi has been practicing corporate law since 2004. She was previously working for AZB & Partners in New Delhi.

She has been representing domestic and multi-national companies in cross-border transactions across industry sectors, advising on Foreign Direct Investments, Joint Ventures, Technology Transfers and Commercial Contract Issues.

She also has represented various strategic and financial investors, particularly Private Equity Funds and investee companies in a variety of investments and exits. Her role in these transactions has included advice on setting up business in India, day-to-day business operations, corporate compliance and governance, drafting, vetting and negotiating complex structuring issue and rendering strategic advice.

Pallavi is part of the leadership group for JSA’s Start-up Initiative.

Some of the key assignments in these areas handled and being handled by Pallavi amongst others, cover the following:-

  • Advised Ecom Express Private Ltd (a Warburg portfolio company) and its promoters in respect of the investment made by a UK-based development financial institution CDC Group. CDC Group has picked up a minority stake by way of a primary infusion of capital. Had also advised the company and its promoters in respect of the investment made by Warburg Pincus in the year 2015. The composite structure of the deal involved a primary infusion as well as a secondary sale of securities by the existing investors, including some angel investors.
  • Advised The Carlyle Group in its majority acquisition/ buy-out of Visionary RCM Infotech (India) Private Limited (“VRCM”). VRCM is the largest independent offshore medical coding service provider for risk-adjustment in India. The transaction involves a primary acquisition of shares of VRCM and secondary purchase of shares from its existing investor – Kalaari, promoters of VRCM and other shareholders.
  • Topy Industries Limited, a listed company in Japan, in relation to its joint venture with Wheels India Limited, a TVS Group company listed in India. Topy Industries has acquired 26 per cent stake in Wheels India Car Wheels Ltd, a wholly owned subsidiary of WIL.
  • Involved in the acquisition by Bimbo Holanda (subsidiary of Grupo Bimbo) in connection with its proposed acquisition of 65% share capital of Ready Roti India Pvt. Ltd. The deal size is over USD 50 million. The transaction comprises of secondary purchase of shares of the promoters and primary infusion.
  • Grupo Bimbo is a Mexican multinational bakery product manufacturing company. It is the world’s largest baking company with reported revenue of approx.USD 14 Billion and is listed on Mexican Stock Exchange.
