Kuriyan specialises in mergers & acquisitions, private equity, banking & finance, strategic joint ventures, domestic and cross border investments & acquisitions in unlisted companies, business structuring / restructuring, employment and general corporate commercial work.

Kuriyan focuses on real estate, software and services sectors, and has extensive experience in foreign direct investments, joint ventures and setting up of business operations in India across various industry sectors.

Kuriyan also regularly advises clients on structuring transactions (both debt and equity), entry and exit strategies, foreign direct investments and exchange control laws, the Companies Act, 2013, employment, information technology, data privacy and consumer laws and strategies for establishing and operating businesses in India.

Kuriyan has been practising law since 2011 and has been with JSA since graduating from Symbiosis Law School, Pune, in 2011.

Some of the key assignments in these areas handled and being handled by Kuriyan, amongst others, cover the following:

  • Advised Embassy Group in connection with its transaction with WeWork, whereby Embassy and WeWork would establish, operate and manage co-working spaces across India.
  • Advised TVS Supply Chain Solutions Limited and its promoters in connection with the minority investment by Gateway Partners in compulsorily convertible preference shares issued by TVS Supply Chain Solutions Limited.
  • Advised Embassy Group and WeWork India Management Private Limited in relation to the USD 100 million investment by WeWork International Limited (a subsidiary of The We Company) in compulsorily convertible debentures issues by WeWork India Management Private Limited.
  • Advised Prestige Estates Projects Limited and its group companies in relation to the investment by (i) HDFC Capital Affordable Real Estate Fund – I (HCARE) in optionally convertible debentures and (ii) Prestige Estates Projects Limited in non-convertible debentures, issued by Prestige Projects Private Limited. This was the first transaction completed under the INR 2500 crore Prestige-HCARE affordable / mid-income housing platform that was set up in February 2018.
  • Advised one of the largest global multi-national finance companies in connection with its investment in listed, redeemable, non-convertible debentures issued by Cybercity Builders & Developers Private Limited.
  • Advised Facebook, Inc. in its first acquisition in India, where Facebook acquired Little Eye Software Labs Private Limited, a mobile software analytics company based in Bangalore.
  • Advised Hoya Corporation in connection with its primary and secondary investment in Eye-Q Vision Private Limited, which operates eye hospitals and clinics.
  • Advised Verisk Analytics, Inc. on the acquisition of 100% of the total share capital of Fintellix Solutions Private Limited.
  • Advised Prestige Estates Projects Limited and its group companies in relation to the investment by HDFC Capital Affordable Real Estate Fund – I (HCARE) in optionally convertible debentures issued by Apex Realty Management Private Limited. This was the second transaction completed under the INR 2500 crore Prestige-HCARE affordable / mid-income housing platform that was set up in February 2018.
  • Advised Cerestra Infrastructure Trust in relation to the issuance of secured, unlisted, redeemable optionally convertible debentures by VJTF Infrastructure Private Limited, a company that owns educational infrastructure in Mumbai. As part of the transaction, Cerestra also acquired 51% of the paid up capital of VJTF.
