Kavya Katherine Thayil, Associate, JSA

Kavya is a member of JSA’s technology, media and telecommunication (TMT) and corporate commercial practice.

Kavya specializes in corporate commercial, information technology/fintech, venture/private equity and employment.

She advises technology companies (including FinTech companies)  on the regulatory and contractual front, including advice on  business models; regulatory issues surrounding their businesses;  data protection, cyber security data management and data transfer; payment structures in India; e-commerce and launch of product and service offerings in India.

She has assisted and advised global technology companies on structuring of transactions, drafting & negotiating transaction documents and has represented buyers/investors & sellers/target entities in acquisitions, investments, and asset sales & purchases.

Kavya regularly provides advice in relation to employment laws in India including employment compliances, employee benefits, employee termination, conduct of disciplinary proceedings, employee transfer, confidentiality and non-compete obligations, and employment policies.

She has been practicing law since 2015.

  • Advised and assisted a leading global tech company in the sale of its shares held  in an Indian company, engaged in the  business of operating a fashion e-commerce platform which provides sellers the ability to list their inventory across multiple demand channels for customers to purchase.
  • Advised and assisted a leading global tech company in the Indian leg of its acquisition of a company, engaged in the business of providing secure, high performance, dedicated environments to run VMware workloads (i.e. virtualization tools) in the cloud.
  • Advised and assisted a leading global tech company in the acquisition of an Indian company engaged in the business of developing offline peer-to-peer contactless payment authentication and UPI contactless payment authentication solutions through an acqui-hire transaction.
  • Advised and assisted an early stage VC fund in connection with its investment into a Delaware incorporated company which is engaged in the business of providing a software application that assists candidates in preparing for competitive examinations.
