Amritha’s key focus areas are in Mergers & Acquisitions, Private Equity and Insolvency. She has experience in matters involving mergers and cross border investments & acquisitions, foreign collaborations such as joint ventures, & licensing transactions, having acted for various bidders, investors, sellers and target companies across industries and sectors; and resolution process under the insolvency and bankruptcy resolution laws of India, having acted for various resolution applicants;

Additionally, Amritha has advised domestic and international clients on various aspects of corporate law, including general corporate and commercial laws, regulatory compliances, employment laws, foreign exchange control laws. She has assisted clients with structuring their transactions, facilitation of entry and setting up in India, drafting and negotiating contracts, agreements and other transaction documents.

Amritha started practicing law in 2018 and before joining JSA, she worked with L&L Partners Law Offices for two years.

Some of the key assignments in these areas handled by Amritha amongst others, cover the following:

  • Advised Nippon Steel Corporation, one of the world’s largest steel producers, in relation to the joint bid with Arcelor Mittal submitted for Essar Steel India Limited. The now successful bid included advising on procedure and regulations, including the resolution plan, notified under the Insolvency and Bankruptcy Code, 2016, due diligence of companies involved in the resolution process and advising on several related entities and the procedure to deal with each of them.
  • Advised a leading steel manufacturer on various complex issues involving the steel, electricity, power and gas sectors. Assisted with drafting term sheets, gas/power supply arrangements, and various transaction documents with PSUs, and other leading counterparties in the industry.
  • Advised a leading speacialty chemicals manufacturer, in connection with its joint venture with a global chemical company based in Belgium in its acquisition of minority stake in a subsidiary. Assited with the structuring, and drafted and assisted in negotiations on several technical transaction documents.
  • Advised a leading auto components manufacturer on the insolvency process of another manufacturing company, and assisted in drafting the resolution plan as the resolution applicant.
  • Advised an overseas corporation that specializes in funding corporate sector companies in relation with financing the successful resolution applicant for a sea food processing company. Further, drafted and advised on merger schemes, and other transaction documents.
  • Advised a foreign tobacco manufacturing company on entry strategies into India and prepared a detailed entry, incorporation and franchising step plan.
  • Diligenced a group of leading pharmaceutical ingredients manufacturing companies with a focus on HR and labour related issues; Drafted the ESOP Scheme for the companies and assisted in advising on policy structuring and various clauses of key employment agreements.
  • Advised a US based, publicly traded biopharmaceutical company on Indian regulatory procedure for withdrawing scheduled drugs from the market.
  • Advised a steel manufacturing company on debt restructuring process based on RBI debt restructuring regulations.
