Aarthi Sivanandh, Partner, JSA

Aarthi started her practice as a foreign legal consultant in the USA in 2001 concentrating on corporate and transactional advisory work the US-India business corridor until 2006.

In 2010, she co-founded Vichar Partners that merged its law practice with J. Sagar Associates in April 2014.

Aarthi’s practice focuses on the full spectrum of corporate laws and transactional matters: mergers and acquisitions, venture capital transactions, private equity, foreign collaborations including joint ventures and licensing transactions. She has extensive experience in working in the India region, having acted for bidders, target companies, sellers and advisors in such transactions.

Her significant work also includes representing India clients investing in foreign markets, family businesses in their growth initiatives through restructuring of family holdings, trusts governance and family settlements

Her expertise is also called for in board led internal investigations and advisory on corporate governance.

She also leads the pro bono practice of the firm. She has led the firm’s cross-office attorney team in efforts relating to the ability of technology providers to supervise media content, which was awarded the 2017 Trust Law Collaboration Award. Her team was also nominated as a recipient for the 2016 Trust Law Impact Award for its comparative law perspective on rights related to women acid violence survivors.

  • Advised Creador Private Equity in its investment of significant minority in a leader in pharma packaging, Shriji Polymers (India) Limited.
  • Advised Sundaram Finance Ltd (SFL) and Royal Sundaram General Insurance Co. Limited (Royal Sundaram) for the sale of significant minority shareholding of Royal Sundaram to Ageas Insurance International N.V.
  • Advised and assisted Ravindranath GE Medical Associates Private Limited in its acquisition by Gleneagles Development Pte Ltd (subsidiary of IHH Berhard) of majority of the equity interest
  • Advised Polaris Consulting and Services Limited on its sale to Virtusa Corporation
  • Advised the Founders of Computer Age Management Services Limited (CAMS) during the significant minority acquisition by the strategic investment arm of National Stock Exchange, Warburg Pincus and Faering Capital.
  • Advised Multiples Private Equity Funds in the strategic buyout of Peoplestrong HR Services Private Limited. Advised Global Hospitals in its acquisition by Parkway Pantai’s Gleneagles Development Pte Ltd
  • Advised Equitas Holdings Private Limited, German Investment Development Corporation (DEG) and Creation Investments Equitas Holdings, LLC (Creations) in divesture of its significant minority shareholding
  • Advised Neuberg Diagnostics Private Limited in its acquisition of South African pathology chain, Global Clinical and Virology Laboratory.
  • Advised Trivitron Healthcare Private Limited in a joint venture with Dutch based fund, Investment Funds for Health in Africa
  • Advised Veritas Finance Private Limited in receiving investment from CDC Group Plc and Lok Capital Growth Fund
  • Advised & assisted First Carlyle Ventures III (The Carlyle Group) in its purchase of approx. 55% equity shares of Newgen Knowledge Works Private Limited from the exiting PE investors – Aureos South Asia Fund (Holdings) L.L.C, ePlanet Ventures Mauritius Limited and Franklin Templeton Asset Management (India) Private Limited.
  • Advised in the set up of Tamilnadu Infrastructure Fund and continue to provide advisory services to the Tamilnadu Industrial Guidance and Export Promotion Bureau and the TamilNadu Infrastructure Development Board
