Ayisha Mansoor

Ayisha has been actively involved in diverse areas of General Corporate Commercial.

She has advised both domestic & international clients on foreign direct investments into India, establishment of new business operations in India and liaising with Government Regulators in obtaining necessary approvals. She has been involved in numerous corporate transactions involving share acquisition.  She also advises on areas relating to corporate secretarial & regulatory compliances under various applicable corporate laws.

Ayisha is part of the Life Sciences, Healthcare and Pharma practice, with a focus on various aspects of health laws, including contract manufacturing and medical devices, and advisory with respect to registrations/approvals from drug regulatory agencies.

She has worked extensively in the real estate sector including drafting of commercial lease agreements. She represents some of the largest developers in South India. She has also advised multinational companies and drafted agreements relating to units in the Special Economic Zone (SEZ). Her sector practice covers drafting, negotiating and finalizing: (a) construction contracts; (b) facility maintenance agreements; (c) leasing contracts for commercial, hospitality, recreational and warehousing spaces and; (d) sale transactions including acquisition and funding for the same.

She also provides regular employment advisory in matters such as secondments for outbound assignments, POSH, retrenchment, transfer of employees and also assists clients in matters relating to Corporate Social Responsibility (CSR) trusts and foreign contribution related compliances.

She had the opportunity of being seconded to Motorola Mobility, one of the leading smartphone makers worldwide, for a period between August 2014 and January 2016 for exclusive Motorola assignments. She was actively involved in consumer disputes, employment advisory, legal metrology and other related matters of the company. She also had the opportunity of being seconded to Nordex India, a leading developer and manufacturer of wind turbines, for a period between November 2018 and June 2019 for exclusive Nordex assignments. She also assisted the company with contracts pertaining to technical supply of wind turbines, operation and maintenance, development, aggregation of land and other related agreements for setting up of wind power plants. She has also been seconded to Hexaware Technologies, an IT service management company, for a period between July 2022 and September 2022, and assisted the company with technology contracts.

She is also a visiting faculty at Mount Carmel College (Autonomous) Bangalore, where she teaches Media Laws to the undergraduate students of the Communications Study program.

She has been practicing law since 2014.

  • Advised and assisted ShoreCap II Limited, a Mauritius fund (managed by Equator Capital Partners, LLC), both in connection with its investment in Chaitanya Rural Intermediation Development Services Pvt. Ltd. and Chaitanya India Fin Credit Pvt. Ltd.
  • Advised and assisted AJ Ventures and Investments, on its investments into various entities such as HyperKonnect Technologies Private Limited (ShopUp), Laundry Projects India Private Limited (Wassup) and Ubiquitous Foods Private Limited (Oven Fresh).
  • Advised and assisted Forus Health Private Limited, a company involved in the business of developing affordable ophthalmology screening technology solutions – on drafting of commercial agreements and related advisory on (a) intercorporate loan for the wholly owned overseas subsidiary; (b) distribution of ophthalmic imaging devices in the ophthalmic/optometric market; (c) terms of service for ophthalmologists to review retinal images on android based technology platform; and (d) de-identification/ anonymization of sensitive health information.
  • Advised and assisted Acrannolife Genomics Private Limited in relation to investment in the company to expand its business in operating a platform for early diagnosis & management of chronic conditions & infectious diseases including (i) a liquid biopsy for post-organ transplant monitoring and cancer care, (ii) an easy-to-administer COVID-19 test; (iii) tuberculosis test, and other research and development activities.
  • Advised and assisted various multinational companies like Amazon Development Centre Private Limited, Amazon Seller Services Private Limited, Amazon Internet Services Private Limited, Amazon Transportation Services Private Limited, VMWare Software Private Limited, Rotork Controls (India) Private Limited, Baxter India Private Limited and AppDynamics Technologies India Private Limited in taking on lease spaces in information technology parks and special economic zones across India for setting up its offices and/or large warehousing facilities.
  • Advised and assisted Standard Chartered Global Business Services Private Limited in relation to constructing and leasing of the property measuring approximately 7,40,000 square feet of Super Built Up Area within an information technology park being developed by DLF Info Park Developers Limited, in Chennai – the largest office campus globally for Standard Chartered GBS.
  • Advised and assisted developers like Bagmane Developers Private Limited in leasing commercial spaces in information technology parks developed by them, including in relation to construction and leasing of built to suit facilities to the extent of 2,500,000 Sq. Ft. of Super Built Up Area for Google India Private Limited in Bengaluru.
  • Advised and assisted FNF Business Process Outsourcing Services India Private Limited in relation to sale of its industrial property.
  • Advised and assisted SHV LPG India Private Limited in relation to sale of industrial property measuring around 19,00,000 Sq. Ft.in Tamil Nadu and in relation to advising SHV LPG India Private Limited in case of the way forward for sale of the land parcels owned by SHV.
